CDT shall ensure that any scientists involved in any Project will not work on projects within any CDT Group Company to develop organic semiconductors for third parties or on any independent projects to develop organic semiconductors within any CDT Group Company.
Group Company of a Company means
Group Companies means the Company and its Subsidiaries.
Material Group Company means the Issuer or a Subsidiary representing more than 10.00 per cent. of either (i) the total assets of the Group on a consolidated basis (for the avoidance of doubt, excluding any intra-group transactions) or (ii) the EBITDA of the Group on a consolidated basis according to the latest Financial Report.
Target Company means each of the Company and its direct and indirect Subsidiaries.
Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.
Company Group Member means Company or any Company Affiliate;
Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.
Peer Group Companies means the following companies: .
Target Companies means the Target and its Subsidiaries.
Target Group means the Target and its Subsidiaries.
Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.
Acquired Companies means, collectively, the Company and the Company Subsidiaries.
Transferred Entities means the entities set forth on Schedule 1.9.
Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:
Group Entity means any of the Company and Subsidiaries of the Company.
Purchaser’s Group means the Purchaser and its Affiliates from time to time;
Company Subsidiary means any Subsidiary of the Company.
Partnership Group Member means any member of the Partnership Group.
Buyer’s Group means the Buyer and any other company which is or becomes a subsidiary or holding company of the Buyer or a subsidiary of such holding company;
Acquired Entities means the Company and the Acquired Subsidiaries.
Buyer Group Member means (a) Buyer and its Affiliates, (b) directors, officers and employees of Buyer and its Affiliates and (c) the successors and assigns of the foregoing.
Company Entity means each of the Company and its Subsidiaries.
Company Group means the Company and its Subsidiaries.
Company Subsidiaries means the Subsidiaries of the Company.
Group Business Entity means;
Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.
