Celtrix Intellectual Property definition

Celtrix Intellectual Property means the Celtrix Know-How, the Celtrix Patent Rights and/or the Celtrix Improvements. Notwithstanding anything contained in this Agreement to the contrary, Celtrix Intellectual Property shall exclude (a) inventions, patents and know-how [*****] and (b) inventions, patents and know-how that are subject to contractual obligations of Celtrix to Independent Third Parties as of the Effective Date; provided, however, that if the inclusion of inventions, patent rights and know-how in the license of Celtrix Intellectual Property granted to Newco hereunder is restricted or limited by such contractual obligations of Celtrix to Independent Third Parties, then Celtrix shall use reasonable commercial efforts to exclude or, where applicable, to minimize any such restriction or limitation.
Celtrix Intellectual Property has the meaning assigned thereto in the Celtrix License Agreement.
Celtrix Intellectual Property shall have the meaning given in Section 5.19(a) hereof.
