Certifying Employee definition

Certifying Employee means an employee of the corporation requested, as part of the corporation’s disclosure controls and procedures and in connection with the performance of the employee’s responsibilities in service to the corporation, to provide to the corporation a certification or certifications to be used by the corporation in connection with the preparation of its periodic reports under the Exchange Act;
Certifying Employee means employees designated in the Corporate Integrity Agreement Between The Office of Inspector General of The Department of Health and Human Services and Ventura County dated August 11, 2022 (CIA). Certifying Employees include the following: HCA Director, VCMC Chief Executive Officer, VCMC Chief Financial Officer, and VCMC Chief Operating Officer, Compliance Officer, and Ventura County’s Chief Executive Officer.
Certifying Employee includes all Maxim officers, presidents, vice presidents, national and regional directors (other than board directors), and national and regional accounts managers.

Related to Certifying Employee

  • Qualifying Employee means any employee of Managing Agent or Parent or any of their respective subsidiaries who is and has been an employee of Managing Agent or Parent or any of their respective subsidiaries for at least thirty-six (36) months.

  • Tipped employee means any employee engaged in an occupation in which s/he customarily and regularly receives more than $30 per month in tips. Tips include amounts designated as a tip by credit card customers on their charge slips. Nothing in this rule prevents an employer from requiring employees to share or allocate such tips or gratuities on a pre-established basis among other employees who customarily and regularly receive tips.   • Affiliated employee means any individual employed by a recipient who receives compensation directly from government assistance or a contract with the District of Columbia government, including any employee of a contractor or subcontractor of a recipient who performs services pursuant to government assistance or a contract. The term “affiliated employee” does not include those individuals who perform only intermittent or incidental services with respect to the government assistance or contract, or who are otherwise employed by the contractor, recipient or subcontractor.

  • Company Employee means an employee of the Company or an employee of a Subsidiary of the Company, if any.

  • Key Employee means any executive-level employee (including, division director and vice president-level positions) as well as any employee who, either alone or in concert with others, develops, invents, programs, or designs any Company Intellectual Property (as defined in the Purchase Agreement).

  • Former Employee means an individual who has severed employment with the Employer or an Affiliated Employer.

  • Transferring Employee means an employee at the airport who timely transfers to the regional authority by the transfer date.

  • U.S. Employee means a person who is an employee of the Company (or of any Subsidiary) for purposes of section 422 of the Code.

  • Salaried Employee means an employee who is not covered by the Fair Labor Standards Act who regularly receives each pay period a predetermined amount constituting all or part of compensation. This base salary cannot be reduced because of variations in the quality or quantity of work performed.
