The Paying and Transfer Agent shall pay to each Holder of the Notes delivered by the Issuer under clause (2) above the portion of the Change of Control Payment Amount payable to such Holder in accordance with the procedures described in Section 4.01(c), and the Trustee shall promptly authenticate and mail (or cause to be transferred by book entry) to each Holder a new Note equal in principal amount to any unpurchased portion of the Notes surrendered, if any.
