Change of Control Redemption Amount definition

Change of Control Redemption Amount means, in relation to each Note to be redeemed or purchased pursuant to the Change of Control Put Option, an amount equal to the nominal amount of such Note or such other amount as may be specified in the applicable Final Terms;
Change of Control Redemption Amount means the sum of (a) the greater of (i) the outstanding principal amount of this Debenture to be redeemed divided by the Conversion Price on the date the Change of Control Redemption Amount is either (A) demanded (if demand or notice is required to create an Event of Default) or otherwise due or (B) paid in full, whichever has a lower Conversion Price, multiplied by the VWAP on the date on which the Change of Control Redemption Amount is either (x) otherwise due or (y) paid in full, whichever has a higher VWAP, plus all accrued and unpaid interest thereon, (ii) 130% of the outstanding principal amount of this Debenture to be redeemed, plus 100% of accrued and unpaid interest thereon or (iii) the outstanding principal amount of this Debenture divided by the Conversion Price, multiplied by the per share value of the consideration payable in the transaction giving rise to the Change of Control Redemption (based on the number of shares of Common Stock outstanding on the date such transaction is announced and the consideration to be received by the Company, its Subsidiaries and/or their respective shareholders, as applicable in such transaction), plus all accrued and unpaid interest thereon, and (b) all other amounts, costs, expenses and liquidated damages due in respect of this Debenture.
Change of Control Redemption Amount means an amount equal to par plus interest accrued to but excluding the Change of Control Redemption Date.

  • If the Calculation Agent does not at any time for any reason determine or calculate the Rate of Interest for an Interest Accrual Period or any Interest Amount, Instalment Amount, Final Redemption Amount, Change of Control Redemption Amount, Early Redemption Amount or Optional Redemption Amount, the Trustee shall do so (or shall appoint an agent on its behalf to do so) and such determination or calculation shall be deemed to have been made by the Calculation Agent.

  • If a Change of Control Put Option is specified in the relevant Final Terms as being applicable and a Change of Control (as defined below) occurs and, during the Change of Control Period, a Rating Downgrade occurs (together, a Put Event), the holder of any such Note will have the option (the Change of Control Put Option) to require the Issuer to redeem or, at the Issuer’s option, to procure the purchase of such Notes on the Optional Redemption Date at the Change of Control Redemption Amount.

  • Change of Control Redemption Amount means an amount equal to par plus interest accrued to but excluding the Optional Redemption Date.

  • If at any time while any Note remains outstanding there occurs a Change of Control, each Noteholder will have the option (the Put Option) to require the Issuer to redeem of all or part of the Notes held by such Noteholder on the Optional Redemption Date (as defined below) at its Change of Control Redemption Amount.

  • The Issuer shall redeem or, at the Issuer's option, purchase (or procure the purchase of) the Notes in respect of which the Change of Control Put Option has been validly exercised at their Change of Control Redemption Amount together (if appropriate) with (or, where purchased, together with an amount equal to) interest accrued to (but excluding) the date of redemption in accordance with the provisions of this Condition 6.5 on the Change of Control Redemption Date (as defined below).


More Definitions of Change of Control Redemption Amount

Change of Control Redemption Amount means an amount equal to 100 per cent. (or such other amount specified in the relevant Pricing Supplement) of the principal amount of the Notes redeemed plus accrued and unpaid interest, if any, to and including the Change of Control Redemption Date;
Change of Control Redemption Amount means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms or, in the case of Exempt Notes, the relevant Pricing Supplement;
Change of Control Redemption Amount means an amount equal to 101 per cent. of the principal amount of the Notes redeemed plus accrued and unpaid interest, if any, to and including the redemption date.
Change of Control Redemption Amount means, in respect of any Note, 101 per cent. of the Early Redemption Amount;
Change of Control Redemption Amount means 100.00 per cent. of the principal amount of the relevant Notes plus any interest accrued but unpaid to (but excluding) the relevant Redemption Date;
Change of Control Redemption Amount means a redemption price equal to 101 per cent. of the principal amount of the Notes to be redeemed, plus accrued and unpaid, if any, thereon to, but excluding, the redemption date.
Change of Control Redemption Amount means the product of (x) (1) if a sale of equity, the aggregate consideration paid by the acquirer in connection with such Company Change of Control (for the avoidance of doubt, it is understood that in the event the Company Change of Control involves the sale of less than all of the voting control of Bare Escentuals, the aggregate consideration shall be calculated as if all of the voting control of Bare Escentuals was being acquired), or (2) if a sale of assets, the aggregate purchase price paid by the acquirer in consideration for such assets of Bare Escentuals multiplied by (y) .81%.
