CHIRON Licensed Products definition

CHIRON Licensed Products means Products which are manufactured, used, offered for sale, imported or sold under circumstances which would, in the absence of the license granted under Section 2.1 constitute an infringement of a Valid Claim of the CHIRON Licensed Patents, including without limitation the Products identified in Exhibit D, as modified from time to time by mutual agreement of the parties or as determined in accordance with Section 5.2.
