CITGO GP means CITGO Gulf Coast Refining Inc., a Delaware corporation that is a Wholly Owned Subsidiary of CITGO and a general partner in the Borrower.

Examples of CITGO GP in a sentence

  • Lyondell GP and Lyondell LP, in the case of a Default by Lyondell GP or Lyondell LP; and CITGO GP and CITGO LP, in the case of a Default by CITGO GP or CITGO LP.

  • In the case of CITGO LP, the "Affiliated General Partner" shall mean CITGO GP.

  • Without the need for the consent of any other Person, upon the execution of this Agreement: (i) each of Lyondell GP and CITGO GP is hereby admitted to the Partnership as a general partner of the Partnership (together, the "General Partners"), and (ii) each of Lyondell LP and CITGO LP is hereby admitted to the Partnership as a limited partner of the Partnership (together, the "Limited Partners").

  • In the case of CITGO GP, the "Affiliated Limited Partner" shall mean CITGO LP.

  • Such partnership interests in LCR owned by CITGO GP and CITGO LP have been duly authorized and validly issued in accordance with the LCR Partnership Agreement, and, in the case of the CITGO LP Interest, are fully paid (to the extent required by the LCR Partnership Agreement) and nonassessable (except as such nonassessability may be affected by matters described in Sections 17-303 and 17-607 of the Delaware LP Act).

  • Each of Seller, CITGO LP and CITGO GP has the requisite corporate power and authority to carry on its business as it is now being conducted.

  • Seller, directly or indirectly, owns all of the outstanding shares of capital stock of CITGO GP and CITGO LP.

  • CITGO GP is a Delaware corporation, duly organized and validly existing and in good standing under Delaware Law.

  • Neither CITGO GP nor CITGO LP is a “foreign person” with the meaning of Section 1445 of the Code.

  • GP means Gottbetter & Partners, LLP.

  • Atlas means Automated Transportation Logistics Activity System. ATLAS is a computerized information system to which all Shippers have access upon request. ATLAS enables Shippers to nominate and release product and to monitor and coordinate the movement of Petroleum Products while on Carrier's system.

  • General partnership means an organization formed by two or more persons under chapters 45-13 through 45-21.

  • NGL means natural gas liquids.

  • General Partner means the Company or its successors as general partner of the Partnership.

  • GP LLC means Plains All American GP LLC, a Delaware limited liability company.

  • MLP GP means any general partner of any MLP and any general partner of the general partner of any MLP.

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • MLP has the meaning given such term in the introduction to this Agreement.

  • LPN means licensed practical nurse.

  • MLP Partnership Agreement means the Amended and Restated Agreement of Limited Partnership of the MLP, as amended or restated from time to time.

  • Operating Partnership has the meaning set forth in the preamble.

  • Operating Partnership Agreement means the Amended and Restated Partnership Agreement of the Operating Partnership, as it may be amended, supplemented or restated from time to time.

  • Pioneer or the "Company" means Pioneer Natural Resources Company and its subsidiaries.

  • PAA means Plains All American Pipeline, L.P., a Delaware limited partnership.

  • IDR means Interval Data Recorder.

  • Constellation has the meaning assigned to that term in the Recitals.

  • LP means the aggregate quantity of Lost Production during such Month (expressed in MWh) and

  • Sole Member means the Person listed on Schedule A hereto, as amended from time-to-time, who owns the sole Membership Interest in the Company upon such terms and conditions as provided in this Agreement and under the Act.

  • Delaware LLC means any limited liability company organized or formed under the laws of the State of Delaware.

  • Asset Manager means the manager of each of the Series Assets as specified in each Series Designation or, its permitted successors or assigns, appointed in accordance with Section 5.10.

  • Asset Management Company/UTI AMC/AMC/Investment Manager means the UTI Asset Management Company Limited incorporated under the Companies Act, 1956, (1 of 1956) replaced by The Companies Act, 2013 (No. 18 of 2013) and approved as such by Securities and Exchange Board of India (SEBI) under sub-regulation (2) of Regulation 21 to act as the Investment Manager to the schemes of UTI Mutual Fund;

  • SAHRC means the South African Human Rights Commission.

  • TRS means a taxable REIT subsidiary (as defined in Section 856(l) of the Code) of the General Partner.

  • EXCO means EXCO Resources, Inc., a Texas corporation.

  • BTCo means Bankers Trust Company, in its individual capacity, and any successor corporation thereto by merger, consolidation or otherwise.
