Class A-1 Commitment definition

Class A-1 Commitment means for each Class A-1 Lender, (a) prior to the Facility Termination Date, the commitment of such Lender to make Class A-1 Advances to the Borrower in an amount not to exceed, in the aggregate, the amount set forth opposite such Lender’s name on Annex B or pursuant to the assignment executed by such Lender and its assignee(s) and delivered pursuant to Article XV (as such Commitment may be reduced as set forth in Section 2.5), and (b) on and after the earlier to occur of (i) the Facility Termination Date and (ii) the end of the Revolving Period, such Lender’s pro rata share of all Class A-1 Advances outstanding.
Class A-1 Commitment means, (i) with respect to the Series 2019-1 Class A-1 Notes, the Series 2019-1 Class A-1 Commitments and (ii) with respect to any other Class A-1 Notes, the obligation of each Class A-1 Investor in respect of such Notes to fund advances pursuant to the related Class A-1 Note Purchase Agreement.
Class A-1 Commitment means, for each Committed Lender, (a) prior to the Facility Termination Date, the commitment of such Committed Lender to make Class A-1 Advances to the Borrower in an amount not to exceed, in the aggregate, the amount set forth opposite such Committed Lender’s name on Annex B or pursuant to the assignment executed by such Committed Lender and its assignee(s) and delivered pursuant to Article XV (as such Commitment may be reduced as set forth in Section 2.5), and (b) on and after the earlier to occur of (i) Facility Termination Date and (ii) the end of the Revolving Period, such Committed Lender’s pro rata share of all Class A-1 Advances outstanding.

Examples of Class A-1 Commitment in a sentence

  • On the Payment Date immediately following the date on which any such early termination event or event of default occurs, the Trustee, on behalf of the Issuer, shall reduce the Class A-1 Commitment Amount in accordance with clause (iii)(A) and/or deposit the proceeds obtained in accordance with clause (iii)(B) above in the Principal Collection Subaccount to be treated as Principal Proceeds.

More Definitions of Class A-1 Commitment

Class A-1 Commitment means the obligation of the Class A-1 Noteholders at any time to make Class A-1 Advances in an aggregate amount up to but not exceeding €70,500,000.
Class A-1 Commitment means, in relation to any Class A-1 Noteholder and the Class A-1 Note held by it, the obligation of such Class A-1 Noteholder or its Committed Facility Provider under each Class A-1 Note held at such time to make Class A-1 Advances in an aggregate principal amount equal to the initial Class A-1Commitment of such Class A-1 Noteholder (as set out in the Class A-1 Note Purchase Agreement in the case of the initial Class A-1 Noteholder or, in relation to each other Class A-1 Noteholder, as set out in any transfer certificate pursuant to which such Class A-1 Noteholder shall have assumed its Commitment), as applicable, as such obligation may be reduced from time to time pursuant to the provisions of the Class A-1 Note Purchase Agreement.
Class A-1 Commitment means the Class A-R Commitment and the Class A-D Commitment.
Class A-1 Commitment means, with respect to any Lender, the commitment of such Lender to fund Class A‑1 Loans in an aggregate amount not to exceed the amount designated as such set forth opposite such Lender’s name on the signature pages of this Agreement, as such amount may be modified in accordance with the terms hereof or reduced as set forth opposite such Lender’s name on such signature pages.
Class A-1 Commitment means for each Class A-1 Lender, (a) prior to the Facility Termination Date, the commitment of such Lender to make Class A-1 Advances to the Borrower in an amount not to exceed, in the aggregate, the amount set forth opposite such Lender’s name on Annex B or pursuant to the assignment executed by such Lender and its assignee(s) and delivered pursuant to Article XV (as such Commitment may be reduced as set forth in Section 2.5), and (b) on and after the earlier to occur of (i) the Facility Termination Date and (ii) the end of the Revolving Period, such Lender’s pro rata share of all Class A-1 Advances outstanding. Class A-1 Commitment means, for each Class A-1 Lender, the obligation of such Class A-1 Lender to make Class A-1 Loans in an aggregate principal amount up to but not exceeding the amount set opposite the name of such Class A-1 Lender in Schedule 1 under the caption “Class A-1 Commitment” (or, as applicable, the amount thereof specified in the Assignment and Acceptance pursuant to which such Class A-1 Lender became a party to this Agreement) (in each case the same may be (i) varied in accordance with any assignment of Class A-1 Commitments pursuant to Section 9.04(b) and (ii) reduced from time to time pursuant to Section 2.05). As of the Amendment Effective Date, the aggregate amount of the unused Class A-1 Commitments is $3,174,000.

  • L/C Commitment $50,000,000.

  • Tranche C Commitment means, as to each Lender, its obligation to (a) make Committed Loans to TFA pursuant to Section 2.1(c) and (b) purchase participations in Swing Line Loans, in an aggregate principal amount at any one time outstanding not to exceed the amount set forth opposite such Lender’s name on Schedule 2.1 as its “Tranche C Commitment” or in the Assignment and Assumption pursuant to which such Lender becomes a party hereto, as applicable, as such amount may be adjusted from time to time in accordance with this Agreement.

  • Aggregate Revolving Commitment Amount means the aggregate principal amount of the Aggregate Revolving Commitments from time to time. On the Closing Date, the Aggregate Revolving Commitment Amount is $300,000,000.

  • Aggregate Revolving Commitment means, at any time, the aggregate of the Revolving Commitments of all of the Lenders, as increased or reduced from time to time pursuant to the terms and conditions hereof. As of the Effective Date, the Aggregate Revolving Commitment is $60,000,000.

  • Revolving Commitment Amount means, as to any Lender, the Revolving Commitment amount (if any) set forth opposite such Lender’s name on Schedule 1.1 hereto (or, in the case of any Lender that became party to this Agreement after the Closing Date pursuant to Section 16.3(c) or (d) hereof, the Revolving Commitment amount (if any) of such Lender as set forth in the applicable Commitment Transfer Supplement).

  • Term Commitment means, as to each Term Lender, its obligation to make Term Loans to the Borrower pursuant to Section 2.01(a) in an aggregate principal amount at any one time outstanding not to exceed the amount set forth opposite such Term Lender’s name on Schedule 2.01 under the caption “Term Commitment” or opposite such caption in the Assignment and Assumption pursuant to which such Term Lender becomes a party hereto, as applicable, as such amount may be adjusted from time to time in accordance with this Agreement.

  • Tranche B Commitment means, as to each Lender, its obligation to (a) make Committed Loans to TCCI pursuant to Section 2.1(b) and (b) purchase participations in Swing Line Loans, in an aggregate principal amount at any one time outstanding not to exceed the amount set forth opposite such Lender’s name on Schedule 2.1 as its “Tranche B Commitment” or in the Assignment and Assumption pursuant to which such Lender becomes a party hereto, as applicable, as such amount may be adjusted from time to time in accordance with this Agreement.

  • Tranche A Term Loan Commitment means the commitment of a Lender to make a Tranche A Term Loan to Company pursuant to subsection 2.1A(i), and "Tranche A Term Loan Commitments" means such commitments of all Lenders in the aggregate.

  • Aggregate Revolving Loan Commitment means the aggregate of the Revolving Loan Commitments of all the Revolving Lenders, as may be reduced or increased from time to time pursuant to the terms hereof. The initial Aggregate Revolving Loan Commitment is Two Hundred Fifty Million and 00/100 Dollars ($250,000,000.00).

  • Revolving Loan Commitment Amount means, on any date, $30,000,000, as such amount may be reduced from time to time pursuant to Section 2.2.

  • Term Loan Commitment Amount means, as to any Lender, the term loan commitment amount (if any) set forth below such Lender’s name on the signature page hereof (or, in the case of any Lender that became party to this Agreement after the Closing Date pursuant to Section 16.3(c) or (d) hereof, the term loan commitment amount (if any) of such Lender as set forth in the applicable Commitment Transfer Supplement), as the same may be adjusted upon any assignment by or to such Lender pursuant to Section 16.3(c) or (d) hereof.

  • Dollar Commitment means, with respect to each Dollar Lender, the commitment of such Dollar Lender to make Syndicated Dollar Loans, and to acquire participations in Dollar Letters of Credit and Dollar Swingline Loans, denominated in Dollars hereunder, expressed as an amount representing the maximum aggregate amount of such Lender’s Revolving Dollar Credit Exposure hereunder, as such commitment may be (a) reduced or increased from time to time pursuant to Section 2.08 and (b) reduced or increased from time to time pursuant to assignments by or to such Lender pursuant to Section 9.04. The initial amount of each Lender’s Dollar Commitment is set forth on Schedule I, or in the Assignment and Assumption pursuant to which such Lender shall have assumed its Dollar Commitment, as applicable. The aggregate amount of the Lenders’ Dollar Commitments on the Effective Date is $0.

  • Tranche A Commitment means, with respect to each Lender, the commitment, if any, of such Lender to make a Tranche A Term Loan hereunder on the Effective Date, expressed as an amount representing the maximum principal amount of the Tranche A Term Loan to be made by such Lender hereunder, as such commitment may be (a) reduced from time to time pursuant to Section 2.09 and (b) reduced or increased from time to time pursuant to assignments by or to such Lender pursuant to Section 9.04. The initial amount of each Lender’s Tranche A Commitment is set forth on Schedule 2.01, or in the Assignment and Acceptance pursuant to which such Lender shall have assumed its Tranche A Commitment, as applicable. The initial aggregate amount of the Lenders’ Tranche A Commitments is $100,000,000.

  • Revolving Commitment means, as to each Lender, its obligation to (a) make Revolving Loans to the Borrower pursuant to Section 2.01, (b) purchase participations in L/C Obligations, and (c) purchase participations in Swing Line Loans, in an aggregate principal amount at any one time outstanding not to exceed the amount set forth opposite such Lender’s name on Schedule 2.01 or in the Assignment and Assumption pursuant to which such Lender becomes a party hereto, as applicable, as such amount may be adjusted from time to time in accordance with this Agreement.

  • Aggregate Revolving Commitments means, collectively, all Revolving Commitments of all Lenders at any time outstanding.

  • Total Revolving Commitment means the sum of the Revolving Commitments of the Lenders as the same may be decreased or increased pursuant to the terms of this Agreement. As of the Closing Date, the amount of the Total Revolving Commitment is $250,000,000.

  • Tranche B Term Loan Commitment means, with respect to each Lender, the commitment, if any, of such Lender to make a Tranche B Term Loan to the Borrower hereunder in a principal amount equal to the amount set forth on Schedule 1.01(b) (or in the case of any Continuing Tranche B Term Loan Lender, the amount of its Existing Tranche B Term Loan continued as a Tranche B Term Loans (as specified in its Term Loan Lender Addendum) pursuant to Section 2.01(b)(i).
