Class A-1 Interests definition

Class A-1 Interests has the meaning set forth in Section 3.4(a).
Class A-1 Interests has the meaning set forth in the Existing Operating Agreement.
Class A-1 Interests means Class A-1 Interests (as such term was defined in the Second A&R LLC Agreement), all of which have been reclassified into Common Units pursuant to the Reorganization Agreement and this Agreement.

Examples of Class A-1 Interests in a sentence

  • If not previously forfeited, unvested Performance Vesting Units shall be forfeited upon the final disposition by the Sponsors of all their Class A-1 Interests of the Partnership.

  • As soon as reasonably practicable following the execution of this Agreement, the Company shall provide written notice to each Member setting forth the Hypothetical Liquidation Value attributable to the Class A-1 Interests, Class A-2 Capital Interests, Class A-2 Profits Interests and/or Class B Interests previously held thereby and the resulting number of Common Units then owned thereby.

  • Class A-1 Interests shall be exchangeable for Class A-2 Interests (on a Percentage Interest for Percentage Interest basis) at any time by the holder thereof, and shall automatically be exchanged for Class A-2 interests if such interests are transferred to a Person other than a Triarc Affiliated Party.

  • At any time, there may not be more than ten owners of Class A1 Interests and Class A2 Interests.

Class A-1 Interests. Class A-2 Interests,” “Class B Interests,” “Class C-1 Interests,” “Class C-2 Interests” and “Class D Interests.” The Class A-1 Interests shall be evidenced by “Class A-1 Units,” the Class A-2 Interests shall be evidenced by “Class A-2 Units,” the Class B Interests shall be evidenced by “Class B Units,” the Class C-1 Interests shall be evidenced by “Class C-1 Units,” the Class C-2 Interests shall be evidenced by “Class C-2 Units” and the Class D Interests shall be evidenced by “Class D Units.”
Class A-1 Interests means the Class A-1 Interests issued by the Company as set forth on EXHIBIT A, which are voting interests.
Class A-1 Interests means Interests in the Company purchased by the Class A-1 Members in the form of Class A-1 Interests prior to the Fund identifying the first investment.
