Class A-2 Advance definition

Class A-2 Advance means the amount requested by the Investment Manager on behalf of the Issuer pursuant to the Investment Management Agreement to be advanced by the Class A-2 Noteholders pursuant to the Class A-2 Note Purchase Agreement to which they are party.
Class A-2 Advance and collectively the “Class A-2 Advances”), in each case from time to time on any date (each such date on which an Advance is made, an “Advance Date”) during the period from the Effective Date to the end of the Revolving Period; provided that there shall be no more than two (2) Advance Dates during any calendar week.
Class A-2 Advance means each advance denominated in Euro under the Class A-2 Notes pursuant to a Class A-2 Advance Request.

Examples of Class A-2 Advance in a sentence

  • After such designation or assignment, such Class A-2 Advance shall be a term loan hereunder.

  • With respect to any Class A-2 Advance, such Class A-2 Lender shall have received evidence that such Class A-2 Advance has been rated at least A2 by Morningstar on the date such Class A-2 Lender became a party to this Agreement.

  • The amount of each Advance shall be allocated among the Lenders pro rata based on the aggregate unfunded Commitments (excluding Class A-2 Commitments designated or assigned as term loans pursuant to Section 2.9, to which no allocation shall be made) as of the proposed Advance Date as a Class A-1 Advance and a Class A-2 Advance.

  • With respect to any Class A-2 Advance, such Class A-2 Lender shall have received evidence that such Class A-2 Advance has been rated at least A by Morningstar on the date such Class A-2 Lender became a party to this Agreement.

  • The amount of each Advance shall be allocated pro rata based on the aggregate Commitments as a Class A-1 Advance and a Class A-2 Advance.

  • On the Class A-2 Final Funding Date, the Class A-2 Noteholders will be required to make a Class A-2 Advance equal to the Class A- 2 Undrawn Amount on such date and the Class A-2 Commitment shall be cancelled.

  • The amount of each Advance shall be allocated pro rata based on the aggregate unfunded Commitments (excluding Class A-2 Commitments designated or assigned as term loans pursuant to Section 2.9, to which no allocation shall be made) as of the proposed Advance Date as a Class A-1 Advance and a Class A-2 Advance.

  • The Class A-2 Noteholders will be required to make their Pro Rata Share of each Class A-2 Advance to the Issuer.

  • Upon receipt of written notice from the Co-Issuers or the Series 2008-1 Class A-2 Note Administrative Agent of any Series 2008-1 Class A-2 Advance, the Trustee shall indicate in its books and records the amount of such Series 2008-1 Class A-2 Increase.

More Definitions of Class A-2 Advance

Class A-2 Advance means each advance made by a Class A-2 Noteholder to the Issuer pursuant to the Class A-2 Note Purchase Agreement in respect of the Class A-2 Notes (which for the avoidance of doubt shall not include a Class A-2 Downgrade Draw but which shall include amounts in respect of the Class A-2 Notes withdrawn from the Noteholder Collateral Account pursuant to Condition 4(j)(xiii) (Noteholder Collateral Account)).

Related to Class A-2 Advance

  • Class A-2 Note Rate means, for (i) the initial Series 2005-1 Interest Period, 2.71% per annum and (ii) any other Series 2005-1 Interest Period, the sum of 0.06% plus LIBOR for such Series 2005-1 Interest Period.

  • Class A-2-A Interest Rate means [ ]% per annum (computed on the basis of a 360-day year of twelve 30-day months).

  • Class A-2 Note Balance means, at any time, the Initial Class A-2 Note Balance reduced by all payments of principal made prior to such time on the Class A-2 Notes.

  • Class A-2 Note means any of the 0.36% Asset Backed Notes, Class A‑2, issued under the Indenture substantially in the form attached thereto as Exhibit A-2.

  • Class A-1 Note Rate means, (i) with respect to the initial Series 2003-2 Interest Period, 1.32% per annum and (ii) with respect to each Series 2003-2 Interest Period thereafter, a rate per annum equal to One-Month LIBOR for such Series 2003-2 Interest Period plus 0.20% per annum.

  • Class A-1 Note means any of the 0.23000% Asset Backed Notes, Class A-1, issued under the Indenture, substantially in the form of Exhibit A to the Indenture.

  • Class A-1 Note Balance means, at any time, the Initial Class A-1 Note Balance reduced by all payments of principal made prior to such time on the Class A-1 Notes.

  • Class A-3 Note Balance means, at any time, the Initial Class A-3 Note Balance reduced by all payments of principal made prior to such time on the Class A-3 Notes.

  • Class A-2 Rate means [ ]% per annum, computed on the basis of a 360-day year consisting of twelve 30-day months.
