Class C-3 Common Units definition

Class C-3 Common Units each have the meaning set forth in the LLC Agreement.
Class C-3 Common Units means the Company's Class C-3 Common Units (as such term is defined in the Company LLC Agreement).

  • As used in this Agreement, the term “series” refers to the Class C-1 Common Units, taken alone, the Class C-2 Common Units, taken alone, or the Class C-3 Common Units, taken alone, and the term “Unvested Units” means the Holder’s Class C Units that are not Vested Units.

  • The Class C-1 Common Units, Class C-2 Common Units and Class C-3 Common Units issued hereunder are collectively referred to herein as the “Holder’s Class C Units.” The Company agrees that the Holder’s agreement to perform services for the Company and its Subsidiaries in his or her capacity as an employee constitutes sufficient consideration, in lieu of a Capital Contribution (as such term is defined in the LLC Agreement), for the Holder’s Class C Units.

  • The Class C-1 Common Units, Class C-2 Common Units and Class C-3 Common Units issued hereunder are collectively referred to herein as the “Executive Units.” The Company agrees that Executive’s entry into the Employment Agreement and agreement to provide services as provided therein constitute sufficient consideration, in lieu of a Capital Contribution (as such term is defined in the LLC Agreement), for the Executive Units.

  • The initial three Series of Class C Common Units are (i) Class C-1 Common Units, 5,212,121 of which are outstanding on the date hereof, (ii) Class C-2 Common Units, 5,212,122 of which are outstanding on the date hereof, and (iii) Class C-3 Common Units, 5,212,121 of which are outstanding on the date hereof.

  • Subject to the terms and conditions of this Agreement and the LLC Agreement, on the date of this Agreement, the Company will issue to Executive, in consideration of services to be rendered by Executive to the Company’s Subsidiaries, (i) 1,333,333 Class C-1 Common Units, (ii) 1,333,334 Class C-2 Common Units and (iii) 1,333,333 Class C-3 Common Units.

Related to Class C-3 Common Units

  • Class A Common Units means a Common Unit which is designated as a “Class A Common Unit” and which has the rights, preferences and other privileges designated in Annex A hereto and elsewhere in this Agreement in respect of holders of Common Units.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Common Units is defined in the Partnership Agreement.

  • Class A Common Unit means a Common Unit having the rights and obligations specified with respect to Class A Common Units in this Agreement.

  • Class B Common Unit means one of that certain class of Common Units with those special rights and obligations specified in this Agreement as being appurtenant to a “Class B Common Unit”.

  • Class B Units means the Class B Units of the Company.

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • Initial Common Units means the Common Units sold in the Initial Offering.

  • Class V Common Stock means the Class V common stock, par value $0.0001 per share, of the Corporation.

  • Class C Common Stock means the Class C Common Stock, par value $0.01 per share, of the Company.

  • Class A Common Shares means class A common shares of a nominal or par value of US$0.00001 each in the capital of the Company having the rights provided for in the Memorandum and Articles of Association, and any shares into which such class A common shares may be converted.

  • Class B Common Shares means the Class B Convertible Voting Common Shares of the Company, par value $1.00 per share.

  • Class A Common Stock means the Class A Common Stock, par value $.01 per share, of the Company.

  • Class B Common Stock means the Class B common stock, par value $0.0001 per share, of the Company.

  • Class C Units The term "Class C Units" shall have the meaning set forth in the preface.

  • Common Unit means a common unit representing a limited partner interest in the Partnership having the rights set forth in the Partnership Agreement.

  • Preferred Units means a Partnership Interest, including the Series A Preferred Units, designated as a “Preferred Unit,” which entitles the holder thereof to a preference with respect to distributions, or as to the distribution of assets upon any Liquidation Event, over Common Units.

  • Class B Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Class C Shares means shares of the Class C Common Stock.

  • Class C Ordinary Share shall have the meaning ascribed to it in Section 2.4(a).

  • Class D Common Stock means the Class D Common Stock, par value $0.01 per share, of the Company.

  • Parent Class A Common Stock means the Class A Common Stock, par value $0.01 per share, of Parent.

  • Class B Ordinary Share means an Ordinary Share of a par value of US$0.0001 in the capital of the Company, designated as a Class B Ordinary Share and having the rights provided for in these Articles;

  • Parent Class B Common Stock means the Class B Common Stock, par value $0.01 per share, of Parent.
