Related to Class C Notes Closing Date

Class C Notes has the meaning assigned to such term in the Indenture.
Series C Notes is defined in Section 1.
Class D Notes has the meaning assigned to such term in the Indenture.
Class A-3 Final Distribution Date means the July 2029 Distribution Date.
Initial Class C Note Balance means $152,941,000.
Class C Note Balance means, at any time, the Initial Class C Note Balance reduced by all payments of principal made prior to such time on the Class C Notes.
Class C Note means any one of the Series 2024-1 6.48% Rental Car Asset Backed Notes, Class C, executed by ABRCF and authenticated by or on behalf of the Trustee, substantially in the form of Exhibit C-1, Exhibit C-2 or Exhibit C-3. Definitive Class C Notes shall have such insertions and deletions as are necessary to give effect to the provisions of Section 2.18 of the Base Indenture.
Class A-4 Final Distribution Date means the April 2027 Distribution Date.
Class A-2-A Notes has the meaning assigned to such term in the Indenture.
Class C Note Rate means 3.48% per annum.
Class C Note Initial Principal Balance means $18,948,000.
Initial Class D Note Balance means $142,370,000.
Class C Note Principal Balance means, on any date of determination, an amount equal to (a) the Class C Note Initial Principal Balance, minus (b) the aggregate amount of principal payments made to the Class C Noteholders on or prior to such date.
Class A-3 Final Scheduled Distribution Date means the Distribution Date.
Accrued Class C Note Interest means, with respect to any Payment Date, the sum of the Class C Noteholders’ Monthly Accrued Interest for such Payment Date and the Class C Noteholders’ Interest Carryover Shortfall for such Payment Date.
Class A-2 Final Distribution Date has the meaning set forth in the Sale and Servicing Agreement.
Class C Final Distribution Date means the October 15, 2021 Distribution Date.
Class C Noteholders means the holders of any Class C Notes from time to time.
Class A-2a Notes means the $359,000,000 Class A-2a 5.14% Asset Backed Notes issued by the Issuer, substantially in the form of Exhibit A to the Indenture.
Class D Note Balance means, at any time, the Initial Class D Note Balance reduced by all payments of principal made prior to such time on the Class D Notes.
Class A-4 Final Scheduled Distribution Date means February 15, 2024.
Initial Class A-4 Note Balance means $75,000,000.
Initial Class A-3 Note Balance means $380,000,000.
Class A-2-B Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-2-B Notes, issued in accordance with the Indenture.
Class A-4 Notes means the Class A-4 1.04% Asset Backed Notes, substantially in the form of Exhibit A.
Class A-5 Notes means the $_________ Floating Rate Class A-5 Student Loan Asset-Backed Notes issued by the Trust pursuant to the Indenture, substantially in the form of Exhibit A thereto.
