Class C Preferred Unit definition

Class C Preferred Unit means a Partnership Interest representing a fractional part of the Partnership Interests of all Limited Partners and assignees, and having the rights and obligations specified with respect to a 9.625% Class C Fixed-to-Floating Rate Cumulative Redeemable Perpetual Preferred Unit in this Agreement.

Class C Preferred Unit means a Partnership Unit that is specifically designated by the General Partners, when issued, as being a Class C Preferred Unit under the terms of this Agreement.

Class C Preferred Unit means a Class C Preferred Unit representing limited partner interests in the Borrower, including any Class C Preferred PIK Units.

Examples of Class C Preferred Unit in a sentence

• The initial Capital Account attributable to a Class C Preferred Unit shall be the Class C Stated Liquidation Preference, irrespective of the amount paid by the holder of such Class C Preferred Unit for such Unit.

• In connection with the foregoing, the Partnership shall adopt the methodology set forth in the noncompensatory option regulations under Treasury Regulation Sections 1.704-1 and 1.721-2 with respect to the issuance and any conversion of Class B Preferred Units or Class C Preferred Unit, the issuance of the Class D Preferred Units and the Class D Redemption Common Units, and the issuance and exercise of the 2019 Warrants, unless otherwise required by applicable law.

• The Class C Preferred Units shall be entitled to the number of votes per Class C Preferred Unit equal to the number of whole Common Units into which one Class C Preferred Unit is then convertible on all matters for which the holders of Units are entitled to vote under the terms of this Agreement and the Act.

• The Preferred Units shall be issued by the Partnership pursuant to a Class C Preferred Unit Purchase Agreement, dated as of [ ], 2013 (the “Purchase Agreement”), by and between the Partnership and Atlas Energy, L.P.

• Each Class C Preferred Unit shall automatically, without any further action by the holder of such Unit and whether or not the certificate representing such Unit is surrendered to the Company or its transfer agent, be converted into Common Units in accordance with this Section 3.9(b): (i) at any time upon the affirmative election of the Class C Preferred Majority Interest or (ii) immediately upon the consummation of a Qualified IPO.

• Each Class C Preferred Unit shall automatically, without any further action by the holder of such Unit and whether or not the certificate representing such Unit is surrendered to the Company or its transfer agent, be converted into Common Units in accordance with this Section 3.8(b): (i) at any time upon the affirmative election of the Class C Preferred Majority Interest or (ii) immediately upon the consummation of a Qualified IPO.

• The initial Capital Contribution of each Class C Preferred Member shall be an amount equal to the Offer Price per Class C Preferred Unit multiplied by the number of Class C Preferred Units to be acquired by such Class C Preferred .

• Each Class C Preferred Member shall be entitled to receive out of the Distributable Cash of the Company, a Class C Preferred Distribution with respect to each Class C Preferred Unit he, she or it owns, in an amount equal to the Class C Preferred Rate multiplied by the Class C Preferred Principal Balance, and no more, payable in cash quarterly, or at such other more frequent intervals as the Directors may from time to time determine.

• The amount of cash paid to, or accumulated with respect to, a Class C Preferred Holder on account of each Class C Preferred Unit held by such Class C Preferred Holder shall be determined by multiplying the Class C Preferred Distribution Rate by the Class C Preferred Unit Price applicable to such Class C Preferred Unit.

• The Preferred Units shall be issued by the Partnership pursuant to a Class C Preferred Unit Purchase Agreement, dated as of June 9, 2013 (the “Purchase Agreement”), by and between the Partnership and Atlas Energy, L.P.

More Definitions of Class C Preferred Unit

Class C Preferred Unit and “Class D Preferred Unit” each have the respective meanings assigned to such term in the Partnership Agreement, as in effect on the Issue Date.

Class C Preferred Unit means a Partnership Security having the rights and obligations set forth in the Certificate of Designation of the Powers, Preferences and Relative Participating Optional and other Special Rights of Preferred Units and Qualifications, Limitations and Restrictions thereof of 12% Cumulative Class C Preferred Units for Atlas Pipeline Partners, L.P. dated as of June 30, 2010, attached hereto as Exhibit 5.12(c) and incorporated herein (the “Class C Preferred Certificate of Designation”).

Class C Preferred Unit means one of the Class C Preferred nonvoting limited liability company equity units in the Company which have priority over the Common Units, but are subordinate to the Class B Preferred Units, and Class A Preferred Units, with respect to distributions of cash and Property as described in Section 3.3 hereof.

Class C Preferred Unit means a Unit that is designated as such and issued pursuant to Section 2 hereof.

Class C Preferred Unit means a Partnership Unit issued by the Partnership to the General Partner in consideration of the contribution by the General Partner to the Partnership of the entire net proceeds received by the General Partner from the issuance of the Series A Preferred Stock. The Class C Preferred Units are Partnership Units. The Class C Preferred Units shall have the preferences, conversion and other rights, voting powers, restrictions, limitations as to distributions, qualifications and terms and conditions of redemption as are set forth in this Exhibit F. It is the intention of the General Partner, in establishing the Class C Preferred Units that each Class C Preferred Unit shall be substantially the economic equivalent of a share of Series A Preferred Stock.

Class C Preferred Unit and "Class C Preferred Unit Holder" and to replace the current definition of "Percentage Interest" with the definition of that term described below. All other terms defined in Article I shall remain in full force and effect.
