Class C Share definition

Class C Share on any day means a fraction whose numerator is the Class C Balance and whose denominator is the sum of the Class C Balance and the Class R-1 Balance, in each case on that day.
Class C Share means a class C non-voting share of the Company;
Class C Share means a Class C ordinary share of a par value of US$0.0001 in the share capital of the Company.

  • If a cash payment is made in lieu of delivering Class C Shares, the amount of the payment will be equal to the Fair Market Value of the Class C Share as of the date on which the Restricted Period lapsed in the case of Restricted Share Units, or the delivery date in the case of Deferred Share Units, with respect to each Vested Unit.

Class C Share means a share of “Class C Common Stock” as defined in the PubCo Charter.
