Class D Warrants definition

Class D Warrants means, collectively, the Class D Common Stock purchase warrants, delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Class D Warrants shall be exercisable immediately after issuance and will expire three years after the Closing Date in the form of Exhibit B attached hereto.
Class D Warrants means the Class D Warrants issued to Shattan pursuant to the First Parthenon Purchase Agreement.

  • The exercise of certain options resulted in the Company acquiring 4,717,000 Series A Preferred Shares and 1,250,000 Class D Warrants in Apicore in exchange for US$33,750,000 cash, increasing the Company’s ownership in Apicore to 64% (approximately 60% on a fully diluted basis).

  • The Company will promptly file such certificate with the Warrant Agent and cause a brief summary thereof to be sent by ordinary first class mail to Paramount and to each Registered Holder of Class D Warrants at his or her last address as it shall appear on the registry books of the Warrant Agent.

More Definitions of Class D Warrants

Class D Warrants means, collectively, the Common Stock purchase warrants delivered to the Underwriters in accordance with Section 2.1(a)(iv) and Section 2.2, which Class D Warrants shall be exercisable immediately upon issuance and have a term of exercise equal to one (1) year, in the form of Exhibit G attached hereto.

Class D Warrants means warrants issued on the Restructuring Closing Date to certain holders of the New Priority Lien Notes and the existing shareholders of the Company and exercisable for an aggregate amount of 1,200 Class D Shares.
