Class I-3 Units definition

Class I-3 Units has the meaning set forth in Section 3.2(a).
Class I-3 Units means units of Investment’s class of capital interests known as Class I-3 units.

Examples of Class I-3 Units in a sentence

  • The Calculation Period for Class IC4 (EUR) Units will start on 1st January and end on 31st December each year.For each Calculation Period, the Performance Fee in respect of each Unit will be equal to 20% (10% for the Class I3 Units and for the Class IC4 (EUR) Units) of the appreciation in the Gross Asset Value per each Unit of that class during the Calculation Period above the Base Net Asset Value per each Unit of that class.

  • The Invested Capital Balance reflects the accreted value as of September 30, 2009 of the preferred stock Equity Interests of the Antero Subsidiaries that were contributed to the Company on the Effective Date in exchange for the Class I-1 Units, Class I-2 and Class I-3 Units.

  • Similarly, the Invested Capital Balance applicable to the Class I-3 Units shall be reduced by the amount of any distributions made to the Class I-3 Units pursuant to clauses Third and Fifth under Section 6.1(b).

  • Notwithstanding the foregoing, for purposes of calculating the Special Allocation Amount, the Invested Capital Balance applicable to the Class I-1 Units, the Class I-2 Units, the Class I-3 Units, the Class I-4 Units and the Class I-5 Units shall be reduced by the amount of any distributions made to such units pursuant to clauses Second through (and including) Fifth under Section 6.1(b).

  • No service fees are payable in respect of the Class F Units and the Class I-1, Class I-2 and Class I-3 Units.

  • For each Calculation Period, the Performance Fee rate in respect of each Unit will be equal to 20% (10% for the Class I3 Units and for the Class IC4 (EUR) Units) of the appreciation in the Gross Asset Value per each Unit of that class during the Calculation Period above the Base Net Asset Value per each Unit of that class.

Related to Class I-3 Units

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • Class B Units means the Class B Units of the Company.

  • Class B Interests As set forth in the Trust Agreement.

  • Class I X" on the face thereof in substantially the form attached hereto as Exhibit A.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Class C Shares means the shares of Class C common stock of the Company.

  • Class A Common Units means the Company's Class A Common Units.

  • Preferred Units means a Partnership Interest, including the Series A Preferred Units, designated as a “Preferred Unit,” which entitles the holder thereof to a preference with respect to distributions, or as to the distribution of assets upon any Liquidation Event, over Common Units.

  • Class C Interest An uncertificated interest in the Trust Fund held by the Trustee on behalf of the Holders of the Class C Certificates, evidencing a Regular Interest in REMIC 3 for purposes of the REMIC Provisions.

  • Class A Interests means the Units purchased by the Class A Members. The Class A Interests shall comprise sixty-five percent (65%) of the total Interests sold. Class A Percentage Interest shall be determined by calculating the ratio between each Class A Member’s Capital Account in relation to the total capitalization of the Company provided by the Class A Members.

  • Class C Units means the Class C Units of the Company.

  • Class C Class D," "Class E," "Class F," "Class G," "Class H," "Class J," "Class K," "Class L," "Class M," "Class N," "Class O," "Class P," "Class R-I," "Class R-II" and "Class R-III" respectively, on the face thereof, in substantially the form attached hereto as Exhibits.

  • Class A has the meaning set forth in Section 5.1.C.

  • Class D Units has the meaning ascribed to such term in the LLC Agreement.

  • Class II means the class of directors of the Board of Directors with a term expiring at the annual meeting of stockholders of the Company in 2001 and every third annual meeting thereafter.

  • Class B-3 Distribution Amount As to any Distribution Date, any amount distributable to the Holders of the Class B-3 Certificates pursuant to Paragraphs eleventh, twelfth and thirteenth of Section 4.01(a).

  • Class P Interest An uncertificated interest in the Trust Fund held by the Trustee on behalf of the Holders of the Class P Certificates, evidencing a Regular Interest in REMIC III for purposes of the REMIC Provisions.

  • Class B Warrants means, collectively, the Common Stock purchase warrants in the form of Exhibit C attached hereto delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which warrants shall be exercisable immediately and have a term of exercise equal to one year.

  • Class B Interest Each of the Class B-1 and Class B-2 Interests.

  • Class IO Interest An uncertificated interest in the Trust Fund held by the Trustee, evidencing a REMIC Regular Interest in REMIC III for purposes of the REMIC Provisions.

  • Class B-3 Certificates All Certificates bearing the class designation of "Class B-3".

  • Class LT-R Interest The residual interest in the Lower-Tier REMIC as described in the Preliminary Statement and the related footnote thereto.

  • Class B-6 Certificates The Certificates designated as “Class B-6” on the face thereof in substantially the form attached hereto as Exhibit A.
