Class Member Release definition

Class Member Release means the Release and Indemnification Agreement in the form agreed to by counsel for the parties, and attached hereto as Exhibit A, with respect to those Class Members other than Plaintiff Xxxxxx-Xxxxx, as referenced in Section V.A. hereof.

  • All Class Members, other than the Named Plaintiff, as a condition of receiving a monetary payment in conjunction with this Settlement Agreement, will be required to execute and deliver to the Claims Administrator a Class Member Release in the form agreed to by counsel for the parties and attached hereto as Exhibit A.

  • Except to the extent that it would constitute a set off in an action for damages claimed for any period covered by this settlement, neither the fact nor amount of an award, nor the fact of any non-award, shall be admissible in any other proceeding for any purpose other than to enforce the Named Plaintiff Release or a Class Member Release executed in accordance with this claims process, nor shall it be deemed to be a finding as to the merits of any claim.

  • Any class member who fails to return the Class Member Release Form by the deadline will be deemed to have declined to participate in this settlement and shall not receive a share from the Claims Fund, although the EEOC in its discretion may consider late Class Member Release Forms under compelling circumstances.C. Notification of Ineligibility All potential class members determined to be ineligible by the EEOC shall receive a Notice of Ineligibility (Exhibit K).D.

  • Class members shall have forty-five (45) days from the date of the mailing of their Notice of Eligibility to sign and return the Class Member Release Form.

  • The Claims Administrator shall be responsible for procuring an executed Class Member Release and Form W-9 from each eligible Claimant who is not a Named Plaintiff prior to making any monetary allocations to such Claimant.

  • Any Class Member who fails to return the Class Member Release within the time allowed in this Paragraph 55, will be deemed to have rejected the settlement offer.

  • Notwithstanding the foregoing 45-day and 10-day submission deadlines, the Administrator will continue to accept Class Member Releases for twenty (20) days after resolution or determination of the last- decided claimant objection or, if no objections are filed, for twenty (20) days after the deadline for filing objections, and any Class Member Release received during this period will be deemed timely submitted.

  • The EEOC or the Administrator shall provide copies of the Class Member Release Forms to SPS/PPMC after the second installment checks have been sent to class members.

  • State Law Class Members submitting untimely or deficient Opt Outs may be bound by the Settlement and its State Law Class Member Release and considered Claimants for State Law settlement distribution purposes.

  • To the extent that it is determined that the validity, construction or enforcement of this Settlement Agreement or the Named Plaintiff Release or Class Member Release executed pursuant to its terms is governed by state law, the law of the State of California shall apply.

  • Class Member means a member of the Class.

For the avoidance of doubt, Released Plaintiffs’ Claims do not include: (i) any claims relating to the enforcement of the Settlement; and (ii) any claims of any person or entity who or which submits a request for exclusion that is accepted by the Court.

  • Released Plaintiffs’ Claims means any and all manner of claims, demands, rights, liabilities, losses, obligations, duties, damages, costs, debts, expenses, interest, penalties, sanctions, fees, attorneys’ fees, actions, potential actions, causes of action, suits, agreements, judgments, decrees, matters, issues and controversies of any kind, nature, or description whatsoever, whether known or unknown, disclosed or undisclosed, accrued or unaccrued, apparent or not apparent, foreseen or unforeseen, matured or not matured, suspected or unsuspected, liquidated or not liquidated, fixed or contingent, including Unknown Claims, whether based on state, local, foreign, federal, statutory, regulatory, common, or other law or rule (including claims within the exclusive jurisdiction ofthe federal courts, such as, but not limited to, federal securities claims or other claims based upon the purchase or sale of Class Shares), that are, have been, could have been, could now be, or in the future could, can, or might be asserted, in the Action or in any other court, tribunal, or proceeding by Plaintiff or any other Activision stockholder derivatively on behalf of Activision or as a member of the Class, or by Activision directly against any of the Defendants’ Releasees, which, now or hereafter, are based upon, arise out of, relate in any way to, or involve, directly or indirectly, any of the actions, transactions, occurrences, statements, representations, misrepresentations, omissions, allegations, facts, practices, events, claims or any other matters, things or causes whatsoever, or any series thereof, that relate in any way to, or could arise in connection with, the Transaction (or relate to or arise as a result of any of the events, acts or negotiations related thereto) and the nomination, appointment or election of Activision directors, including but not limited to those alleged, asserted, set forth, claimed, embraced, involved, or referred to in, or related to the Fifth Amended Class and Derivative Complaint or the Action, except for claims relating to the enforcement of the Settlement and for any claims that Defendants may have against any of their insurers, co-insurers or reinsurers that are not otherwise released pursuant to other documentation. For the avoidance of doubt, the Released Plaintiff’s Claims include all of the claimsasserted in the Miller Action, but do not include claims based on conduct of Defendants’ Releasees after the Effective Date.

  • Participating Class Member means a Class Member who does not submit a valid and timely Request for Exclusion from the Settlement.

  • Work release means a program of partial confinement
