Client Affiliates definition

Client Affiliates are those entities listed in Exhibit “A”, which are and will be at all times entities, which are controlled by, or are under common control with Client. “Control” means having the ability to direct the management and policies of the entity in question, whether directly or indirectly. Client represents and warrants that it has the full power and authority to bind each Client Affiliate to every obligation of Client in this Agreement, and Client’s signature to this Agreement will bind each Client Affiliate. At CREDCO’s request, Client will cause any Client affiliate to provide CREDCO with written certification substantially similar to the ones made by Client in Sections 2 and 18 below. References throughout this Agreement to “Client” will apply as well to any Client Affiliate using the Information Services, as appropriate.
Client Affiliates means those Affiliates of Client set forth in the applicable Order Form who have the right to receive and use Results as permitted under the Agreement.
Client Affiliates. Any organisation associated with the Client that will directly receive the benefit of the Services. Client Affiliates must be named in a Statement of Work, or subsequently notified to the Agency

Examples of Client Affiliates in a sentence

  • Client shall be jointly and severally liable with the Client Affiliates to which access to the Software is given under this clause and any breach by a Client Affiliates shall be deemed to be a breach by Client.

  • Client shall ensure that the Client Affiliates comply with the terms of the Agreement and that the Client Affiliate to whom such access is given is bound by the obligations of confidentiality in respect of the Software consistent with the Client’s obligations hereunder.

  • Subject to the limitations set forth herein and to the stipulation of such a use in the related Order Form, Client may allow access to and use of the Software by Client Affiliates located in the Permitted Territory of Use (for so long as they remain Affiliates of Client), solely for the purposes of the business of either the Client or the Client Affiliate and within the Permitted Territory of use.

  • All remedies available to Diligent, including the ability to obtain injunctive relief, will apply to such Client Affiliates, and Client will reasonably assist Diligent in enforcing Diligent’s rights and remedies against such Client Affiliates.

  • Service Provider Recipients may: (i) disclose the Client‘s Confidential Information to such parties as may be designated by the Client (for example, the Client’s shared service centre) and to Client Affiliates; and (ii) disclose the Client’s Confidential Information to Payment Infrastructure Providers and Securities Infrastructure Providers on a confidential basis to the extent necessary for the provision of the Services under the Agreement.

  • Client Affiliates that have not entered into a separate agreement directly with Company may exercise the license grants and obligations of this Section 3.1 as applicable through Client’s account hereunder, during the applicable Subscription Term and solely for their respective internal business purposes.

  • Service Provider Recipients may: (i) disclose the Client’s Confidential Information to such parties as may be designated by the Client (for example, the Client’s shared service centre) and to Client Affiliates; and (ii) disclose the Client’s Confidential Information to Payment Infrastructure Providers and Securities Infrastructure Providers on a confidential basis to the extent necessary for the provision of the Services under the Agreement.

  • This Personal Data Protection Policy ("Policy") describes the privacy practices of TMF regarding the Processing of Personal Data of the directors, officers and employees and – to the extent applicable – the customers of the Client and/or the relevant Client Affiliates, as part of the provision of TMF Services to its Clients.

  • Use of the Licensed Products by Client Affiliates shall, for purposes of this Agreement, be deemed use by Client subject to all the terms and conditions herein.

  • As between the Parties, Client owns and shall retain all right, title, and interest in and to any chemical inventory lists, safety data sheet content, and other data, in the form of documents or otherwise, provided or uploaded by Client or Client Affiliates in the course of its use of the Licensed Products or Company’s provision of the Professional Services (“Client Data”).

  • Controlled Investment Affiliate means, as to any Person, any other Person, other than any Sponsor, which directly or indirectly is in control of, is controlled by, or is under common control with such Person and is organized by such Person (or any Person controlling such Person) primarily for making direct or indirect equity or debt investments in the Borrower and/or other companies.

  • Affiliates means, with respect to the Contractor, any of its corporate affiliates or associates, including parent entities, subsidiaries, and other entities in which it owns a substantial interest.

  • Non-Party Affiliates has the meaning set forth in Section 10.15.

  • Employees Stock Option” means the option given to the directors, officers or employees of a company or of its holding company or subsidiary company or companies, if any, which gives such directors, officers or employees, the benefit or right to purchase, or to subscribe for, the shares of the company at a future date at a pre-determined price.

  • Investment Personnel means: (a) Portfolio Managers and other Advisory Persons who provide investment information and/or advice to the Portfolio Manager(s) and/or help execute the Portfolio Manager's(s') investment decisions, including securities analysts and traders; (b) any natural person in a control relationship to the Fund who obtains information concerning recommendations made to the Fund with regard to the purchase or sale of a security; and (c) certain other individuals as designated by the Compliance Officer.

  • Clients means the Janus Funds and other individual and institutional advisory clients of Janus.
