Closing Share Value definition

Closing Share Value means the Closing Price of the Shares on the date of the Change in Control of the Company. For purposes of this subsection (d), the "Closing Price" of a Share on any date shall mean the last sale price, regular way, or, in case no such sale takes place on such date, the average of the closing bid and asked prices, regular way, in either case as reported in the principal consolidated transaction reporting system with respect to securities listed or admitted to trading on the New York Stock Exchange or, if the Shares are not listed or admitted to trading on the New York Stock Exchange, as reported in the principal consolidated transaction reporting system with respect to securities listed on the principal national securities exchange on which the Shares are listed or admitted to trading or, if the Shares are not listed or admitted to trading on any national securities exchange, the last quoted price, or if not so quoted, the average of the highest bid and lowest ask prices in the over-the-counter market, as reported by the National Association of Securities Dealers, Inc. Automated Quotation System or, if such system is no longer used, the principal other automated quotation system that may then be in use or, if the Shares are not quoted by any such organization, the average of the closing bid and asked prices as furnished by a professional market maker making the market in the Shares as such person is selected from time to time by the Board of Trustees of the Company.

Closing Share Value means the Closing Price of the shares of common stock of the Company on the date of the Change of Control; and

Closing Share Value means the Closing Price of the shares of the Company Common Stock on the date of the Change of Control;

Examples of Closing Share Value in a sentence

• If the Estimated Net Adjustment is a positive number, the number of Subordinate Shares to be issued to the Participating Securityholders at the Closing, subject to Section 3.4(a) shall be increased by a number of Subordinate Shares having a Closing Share Value equal to the Estimated Net Adjustment.

• If the Estimated Net Adjustment is a negative number, the number of Subordinate Shares issued to the Participating Securityholders at the Closing, subject to Section 3.4(a), shall be reduced by a number of Subordinate Shares having a Closing Share Value equal to the Estimated Net Adjustment (reflected as a positive number).

• For purposes of clarification, if the percentage amount of the Decline is 25% and the percentage decline in the common shares of the Sector Basket is less than 5%, then IESI-BFC shall have increased the aggregate consideration to be provided in the Merger, in cash or shares or a combination thereof, by an amount equal to 5% of the Closing Share Value multiplied by the number of shares of WSI Common Stock to be exchanged in the Merger.

• To the extent that the aggregate estimated amount of any claims identified by Buyer in the Final Escrow Certificate is less than the value of the Escrowed Shares held in escrow (valued at the Closing Share Value), then Buyer shall direct the Escrow Agent to deliver to Sellers, on a Pro Rata Basis, all of the Escrow Shares then held in escrow less such number of Escrow Shares having a value (based on the Closing Share Value) equal to the aggregate estimated amount of such identified claims.

• At the end of each Performance Period, the total shareholder return (“Total Shareholder Return” or “TSR”) of the Company and each of the Peer Group Companies (as defined below) shall be calculated by dividing (i) the Closing Share Value, as such synonymous term is defined for purposes of the Company’s Long-Term Equity Incentive Program for executive officers approved by the Committee for such year (the “Program”) by (ii) the Opening Share Value, as such synonymous term is defined under the Program.

More Definitions of Closing Share Value

Closing Share Value means the Closing Price of the Shares on the date of the Change in Control of the Company. For purposes of this subsection, the "Closing Price" of a Share on any date shall mean the last sale price, regular way, or, in case no such sale takes place on such date, the average of the closing bid and asked prices, regular way, in either case as reported in the principal consolidated transaction reporting system with respect to securities listed on the principal national securities exchange on which the Shares are listed or admitted to trading or, if the Shares are not listed or admitted to trading on any national securities exchange, the last quoted price, or if not so quoted, the average of the highest bid and lowest ask prices in the over-the-counter market, as reported by the National Association of Securities Dealers, Inc. Automated Quotation System or, if such system is no longer used, the principal other automated quotation system that may then be in use or, if the Shares are not quoted by any such organization, the average of the closing bid and asked prices as furnished by a professional market maker making the market in the Shares as such person is selected from time to time by the Board of Directors of the Company or, if there are no professional market makers making a market in the Shares, then the value as determined in good faith judgement of the Board of Directors of the Company.

Closing Share Value means the quotient of (a) the sum of all Trade Values over (b) the aggregate number of shares of Parent Common Stock traded during the twenty (20) consecutive trading days immediately preceding the third trading day prior to the Closing Date.

Closing Share Value means in the case of the Company, the closing price of a share of the Company’s Common Stock, and in the case of the Rxxxxx 2000 Index, the price reported as the closing price of the companies in the Rxxxxx 2000 Index, in both cases, on the last trading day of a Restricted Stock Performance Period.

Closing Share Value of a Subordinate Share means the 20-day volume-weighted average closing price on the CSE or other market with higher trading volume immediately prior to the Closing Date.

Closing Share Value means the weighted average trading price of the common shares of IESI-BFC on the Toronto Stock Exchange for the ten (10) trading days ending on the trading day immediately prior to the Closing Date, and (b) “Sector Basket” means the common shares of Waste Management, Inc., Republic Services, Inc. and Waste Connections, Inc included on a weighted basis according to the relative closing market capitalization of such companies on the New York Stock Exchange on the trading day prior to the date of this Agreement. For purposes of clarification, if the percentage amount of the Decline is 25% and the percentage decline in the common shares of the Sector Basket is less than 5%, then IESI-BFC shall have increased the aggregate consideration to be provided in the Merger, in cash or shares or a combination thereof, by an amount equal to 5% of the Closing Share Value multiplied by the number of shares of WSI Common Stock to be exchanged in the Merger. By way of further example, if the percentage amount of the Decline is 25% and the percentage decline in the common shares of the Sector Basket is greater than or equal to 5%, then no increase by IESI-BFC of the consideration to be provided in the Merger shall have been made.

Closing Share Value means Six Hundred Twenty-Five Million Dollars ($625,000,000).

Closing Share Value means the weighted average trading price of the common shares of IESI-BFC on the Toronto Stock Exchange for the three trading days ending on the trading day immediately prior to the Closing Date.
