CMH Group definition

CMH Group means CMH, its controlled affiliates and any other affiliate of CMH or any Xxxxxxx Family Member who has irrevocably granted to and appointed CMH as such person’s or such entity’s proxy and attorney-in-fact (with full power of substitution), for and in the name, place and stead of such person or entity, to vote at any annual or special meeting of stockholders of JohnsonDiversey Holdings, Inc. and to take any action by written consent in lieu of such meeting with respect to all of the equity securities of JohnsonDiversey Holdings, Inc. owned or held of record by such holder, provided that (A) none of S.C. Xxxxxxx & Son, Inc. and its subsidiaries shall constitute a member of the CMH Group. and (B) CMH Group shall not include any person that is engaged in, or has an affiliate that is engaged in, a Specified Business (other than S.C. Xxxxxxx & Son, Inc. and its subsidiaries).
CMH Group means CMHLP and its general partners, Coast Mountain Renewable Energy Inc., Coast Mountain Renewable Energy #2 Inc. and Coast Mountain Hydro Corporation;
CMH Group means CMH, the Johnson Family Members and their respective Affiliates from time to time; provided, however, that for purposes of this Agreement, no Corporation Group Member shall be regarded as a CMH Group Member.

CMH Group or “Group” means Combined Motor Holdings Limited, a company registered in the Republic of South Africa with registration number:1965/000270/06, and its subsidiary companies as listed in Annexure A;
CMH Group means, collectively, the Transferred Affiliates; Clarx Xxxnce Manutention S.A., a French corporation; Normandie Manutention S.A., a French corporation; Flandres Manutention S.A., a French corporation; Clarx Xxxuinaria S.A., a Spanish corporation; Golf Cars, Inc., a Pennsylvania corporation; Engineering Components Inc., a Pennsylvania corporation; and Clarx Xxxponents Korea, Inc., a Korean corporation.
