Xxxxxxx Family Member definition

Xxxxxxx Family Member means (a) a lawful lineal descendant of Xxxxxxx X. Xxxxxxx, Xx. or Xxxxxxxxx Xxxxxxx Xxxxx or the spouse of any such person; (b) an estate, trust (including a revocable trust, declaration of trust or a voting trust), guardianship or custodianship for the primary benefit of one or more individuals described in clause (a) above; and (c) an Entity controlled by one or more individuals or entities described in clauses (a) or (b) above; provided, however, that, for purposes of this Agreement, no Company Group Member shall be regarded as a Xxxxxxx Family Member. For the avoidance of doubt, S.C. Xxxxxxx & Son, Inc. and its Subsidiaries are, as of the date hereof, Xxxxxxx Family Members.
