The Participant represents, covenants and warrants that it has the ability to transact through the Federal Reserve Book-Entry System and, with respect to orders for the creation or redemption of Creation Units, (i) through the CNS Clearing Process, because it is a member of NSCC and an authorized participant in the CNS System of NSCC (a “Participating Party”), and/or (ii) outside the CNS Clearing Process, because it is a DTC participant (a “DTC Participant”).

No transfer will be made if there are insufficient funds in the designated House CCMS Collateral Account of the SEOCH Participant for this purpose or if the pending stock positions are not accepted by HKSCC for settlement under the CNS System.
