Lender shall have received satisfactory reports of UCC (collectively, the “UCC Searches”), tax lien, judgment and litigation searches and title updates conducted by the companies issuing the Title Insurance Policy with respect to the Collateral, Guarantor, Borrower and the Member, such searches to be conducted in each of the locations required by Lender.
Potential investors should note that on and prior to the relevant Postponed Maturity Date, they are exposed to the credit risk of the relevant Collateral Obligor, Collateral Guarantor or Collateral Support Provider (if any) and that, upon the default by the Collateral Obligor, Collateral Guarantor or Collateral Support Provider, as applicable, in respect of such Collateral Item, the Issuer will not be able to redeem the Instruments at their outstanding principal amount on the Postponed Maturity Date.

None of the Collateral Trustee nor any other Secured Party, nor any of their respective directors, officers, employees or agents shall be liable for failure to demand, collect or realize upon any of the Collateral or for any delay in doing so or shall be under any obligation to sell or otherwise dispose of any Collateral upon the request of the Pledged Share Collateral Guarantor or otherwise.
