Committee Parties definition

Committee Parties means (i) the Committee, (ii) each of the Committee’s members acting in their respective capacities as members thereof, and (iii) each of the foregoing parties’ current officers, affiliates, partners, directors, employees, agents, members, representatives, advisors, and professionals (including any attorneys, consultants, financial advisors, investment bankers, and other professionals retained by the Committee or by any member thereof), together with their respective successors and assigns; provided, however, that such attorneys and professional advisors shall only include those that provided services in connection with the Chapter 11 Cases.
Committee Parties means, solely in their capacities as such, (a) the Committee,(b) the members of the Committee, and (c) the Professionals of the Committee.

Examples of Committee Parties in a sentence

  • Meetings of the JSC that are held in person shall alternate between the offices of the Committee Parties, or such other location as the Committee Parties may agree.

  • Such minutes shall be effective only after approved by all Committee Parties in writing.

  • Neither the Company nor any of the Committee Parties shall voluntarily undertake any course of action inconsistent with satisfaction of the requirements applicable to them set forth in this Agreement and each shall promptly do all such acts and take all such measures as may be appropriate to enable them to perform as early as practicable the obligations herein and therein required to be performed by them.

  • The Committee Parties hereby irrevocably withdraw the Proposals and hereby irrevocably withdraw the request that the Company call and hold the Special Meeting to consider and vote upon the Proposals.

  • The Committee Parties shall notify the Company in writing of any proposed change in beneficial ownership of Voting Stock by the Committee Parties or any of their respective Affiliates at least three (3) business days prior to such change or any commitment to make such change, including, without limitation, the name of the transferee and the material terms of such change.

  • Coordination Committee means the jointly constituted PJM and NYISO committee established to administer the terms and provisions of this Agreement pursuant to Section 35.3.2.

  • Coordinating Committee means the committee designated and elected as provided in section 16d in connection with a township consolidation.

  • Selection Committee means a committee of individual(s) who evaluate and rank proposals; conduct negotiations; and makes a contract award recommendation to the District and its respective Committees.

  • Review Committee or “Committee” means a committee established pursuant to rule Chapter 67-60, F.A.C.

  • Program Participants means, for any CRP, the Centers (other than the Lead Center for such CRP) and any Partner receiving funding for activities under such CRP that are funded by the CGIAR Fund.

  • District Evaluation Advisory Committee means a group created to oversee and guide the planning and implementation of the Board of Education's evaluation policies and procedures as set forth in N.J.A.C. 6A:10-2.3.

  • Development Committee shall have the meaning set forth in Section 3.4.1.

  • Advisory Committee means the Employer's Advisory Committee as from time to time constituted.

  • Senior Management means personnel of the Company who are members of its core management team excluding Board of Directors. This would include all members of management one level below the executive directors, including all the functional heads.

  • Operating Committee means the Operating Committee of Epoch which meets frequently and is responsible for implementing the Company’s strategy, making operational decisions and overseeing the day-to-day running of the Company.

  • Procurement Committee means a Committee constituted by the Employer to perform the functions as such under the terms and conditions of Contract.

  • Management Team means Xxxxxx X. X’Xxxxxxx, Xxxxxxx X. Xxxxxx, Xx. and Xxxxx X. Xxxxxxxxxx.

  • Regulatory Oversight Committee means the committee of the Board constituted in accordance with Rule 204.
