Common Price Per Share definition

Common Price Per Share means (i) the sum of (A) the Merger Consideration, (B) the aggregate exercise prices of all Company Vested Options and (C) the aggregate exercise price of the Company Warrant, divided by (ii) the sum of (A) the number of shares of Company Common Stock outstanding immediately prior to the Effective Time, (B) the number of shares of Common Stock into which shares of Preferred Stock outstanding immediately prior to the Effective Time shall be convertible as of the Effective Time, assuming that all dividends accumulated thereon were converted into Common Stock at the conversion prices set forth in Article Fourth, Section 5(B)(i) of the Certificate of Incorporation, (C) the aggregate number of shares of Common Stock for which the Company Vested Options shall be exercisable immediately prior to the Effective Time and (D) the aggregate number of shares of Common Stock for which the Company Warrant shall be exercisable immediately prior to the Effective Time.
Common Price Per Share means an amount equal to (a) the Company Common Equity Value, divided by (b) the aggregate Common Stock Equivalents outstanding immediately prior to the Effective Time.
Common Price Per Share means the Common Cash Price Per Share plus the Common Stock Price Per Share.

  • Upon the surrender of each Common Certificate formerly representing shares of Common Stock, together with a properly completed letter of transmittal, the Paying Agent shall pay the holder of such Common Certificate the Common Price Per Share multiplied by the number of shares of Common Stock formerly represented by each such Common Certificate, in exchange therefor, and each such Common Certificate shall forthwith be canceled.

Common Price Per Share means the quotient obtained by dividing (i) the Capital Stock Participation Amount by (ii) the Total Participation Shares.
Common Price Per Share shall equal the Merger Consideration divided by the Systinet Participating Capitalization, rounded to six decimal places. “Systinet Participating Capitalization” means, as of immediately prior to the Effective Time, the aggregate number of outstanding shares of Systinet Common Stock (including all (i) shares of Systinet Common Stock issuable upon conversion of all shares of Systinet Preferred Stock and (ii) shares of Systinet Common Stock issuable upon exercise of (A) all vested and unexercised Systinet Options and (B) all Systinet Warrants).
Common Price Per Share means the Aggregate Merger Consideration divided by the Fully-Diluted Common Number.

  • Exercise Price Per Share hereinafter “Exercise Price” means the exercise price with respect to all Shares acquired pursuant to each exercise of the Option).

  • Price Per Share shall have the meaning ascribed to such term in Section 2.1.

  • Closing Price Per Share means, with respect to the Common Stock, for any day, (i) the last reported sale price regular way on the Nasdaq National Market or, (ii) if the Common Stock is not quoted on the Nasdaq National Market, the last reported sale price regular way per share or, in case no such reported sale takes place on such day, the average of the reported closing bid and asked prices regular way, in either case, on the principal national securities exchange on which the Common Stock is listed or admitted to trading, or (iii) if the Common Stock is not quoted on the Nasdaq National Market or listed or admitted to trading on any national securities exchange, the average of the closing bid prices in the over-the-counter market as furnished by any New York Stock Exchange member firm selected from time to time by the Company for that purpose.

  • Purchase Price Per Share means $0.01 per share, as may be adjusted from time to time in accordance with Section 5 or 6.

  • Merger price per share means, in the case of a merger, consolidation, sale, exchange or other disposition of assets that results in a Change of Control or going private transaction (a “Merger”), the greater of (i) the fixed or formula price for the acquisition of shares of common stock occurring pursuant to the Merger, and (ii) the highest fair market value per share of common stock during the ninety-day period ending on the date of such Change of Control or going private transaction.
