Company Designees definition

Company Designees has the meaning set forth in Section 1.4(c)(iii).

Company Designees has the meaning specified in Section 9.06.

Company Designees means any and all Persons that are designated by the Company and that will be members of the Company Group as of immediately following the Distribution Effective Time.

Examples of Company Designees in a sentence

• Parent agrees to nominate the Company Designees appointed to the Parent Board pursuant to this Section 1.7 for reelection at Parent’s first annual stockholders’ meeting that occurs after the Closing.

• Notwithstanding the foregoing, at the election of the Standby Purchaser, in lieu of the designation of a replacement Company Designee as provided above, the size of the Board may be reduced by two directors so long as one of the Standby Purchaser Designees resigns, such that the Standby Purchaser will continue to have one more designee than the number of Company Designees (provided that the number of Company Designees, as reduced as aforesaid, may not be reduced below two).

• The number of the initial Company Designees and Standby Purchaser Designees shall be as provided in the Standby Purchase Agreement.

• The Board shall consist of the Standby Purchaser Designees and the Company Designees.

• The number of Company Designees shall not exceed six (6) nor at any time be less than two (2), and the number of Standby Purchaser Designees shall at any given time, subject to the last sentence of this Section 3.3, be one (1) more than the number of Company Designees but in no event less than three (3).

More Definitions of Company Designees

Company Designees has the meaning set forth in Section 7.12(a)(1).

Company Designees means (i) the Directors duly designated and appointed to the Board as of the date hereof, in each case pursuant to Section 5.18 of the Securities Purchase Agreement, and (ii) the individuals nominated by the Independent Company Designees pursuant to Section 2.1(d).

Company Designees has the meaning set forth in Exhibit A to this Agreement.

Company Designees means two of the current Company directors, provided that none is a Bad Actor.

Company Designees means Xxxxxxx X. Xxxxx, Xxxxxx X. Xxxxx and Xxxxxxx X. Xxxxxxxx (or if any of such persons ceases to be a member of the Board of Directors of the Company prior to the Effective Time or becomes unwilling or unable to serve as a member of the Board of Directors of Parent, such replacement individual who is designated by the Company to Parent in writing and approved by Parent (such approval not to be unreasonably withheld, conditioned or delayed).

Company Designees means the individuals designated by Members Mutual and identified as such in the Registration Statement, one of whom shall be the Chief Executive Officer of HoldCo;
