Company Foreign Benefit Plan definition

Company Foreign Benefit Plan means any Company Benefit Plan that provides benefits only for employees, consultants, independent contractors, or directors of the Company, any of its Subsidiaries or any Company ERISA Affiliate who are employed or otherwise regularly providing service outside of the United States.
Company Foreign Benefit Plan has the meaning set forth in Section 3.14(i).
Company Foreign Benefit Plan has the meaning assigned to such term in Section 5.08(g).

  • Nothing in this Section 6.5 shall be construed to limit the right of Purchaser or any of its Subsidiaries to amend or terminate any US Benefit Plan that is not a Parent Plan or Subject Company Foreign Benefit Plan or any other employee benefit plan of Purchaser or its Subsidiaries, to the extent such amendment or termination is permitted by the terms of the applicable plan.
