Company Issuance Rights definition

Company Issuance Rights means the rights to issuance of Company Shares pursuant to the TAG Agreement.
Company Issuance Rights means the rights to issuance of Company Ordinary Shares pursuant to the Contracts set forth on Section 1.1(a) of the Company Disclosure Schedules (including as amended and converted into rights to issuance of Holdco Shares pursuant to the Contracts set forth thereon).

Related to Company Issuance Rights

  • Preferred Stock Issuance means the issuance or sale by any Company of any Preferred Stock after the Closing Date.

  • Stock Issuance means the issuance of unvested shares of Common Stock under the Company's Restricted Stock Plan or any other Equity Incentive Plan.

  • Policy Issuance Date means the date of first issuance of these Terms and Benefits.

  • Rights Offering Shares means the shares of New Common Stock (including all Unsubscribed Shares purchased by the Commitment Parties pursuant to this Agreement) distributed pursuant to and in accordance with the Rights Offering Procedures.

  • Common Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Common Warrants shall be exercisable immediately upon issuance and have a term of exercise equal to five (5) years from the initial exercise date, in substantially the form of Exhibit A attached hereto.

  • Maximum Common Stock Issuance shall have the meaning specified in Section 2(H).

  • Sponsors’ Warrants means the warrants that are being sold privately by the Company simultaneously with the consummation of the IPO; and (vi) “Trust Fund” shall mean the trust fund into which a portion of the net proceeds of the Company’s IPO will be deposited.

  • Stock Issuance Program means the stock issuance program in effect under the Plan.

  • Stock Issuance Agreement means the agreement entered into by the Corporation and the Participant at the time of issuance of shares of Common Stock under the Stock Issuance Program.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • Exchange Rights shall have the meaning set forth in Paragraph 2 hereof.

  • Preferred Stock Equivalents shall have the meaning set forth in Section 11(b) hereof.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Rights Offering has the meaning set forth in Section 4.1(b);

  • SPAC Warrants means SPAC Private Warrants and SPAC Public Warrants, collectively.

  • Series Issuance Date means, with respect to any Series, the date on which the Notes of such Series are to be originally issued in accordance with Section 2.12 and the related Indenture Supplement.

  • Parent Warrants has the meaning set forth in Section 5.3(a).

  • Preemptive Rights is defined in Section 4.8(b).

  • Special Warrants means the special warrants issued by the Company, at a price of $0.10 per Special Warrant, pursuant to the Special Warrant Private Placement and entitling the holder thereof to acquire, for no additional consideration, one Common Share pursuant to the terms and conditions in the Special Warrant Certificates; and

  • Purchaser Warrants means Purchaser Private Warrants and Purchaser Public Warrants, collectively.

  • Broker Warrants has the meaning ascribed to such term in Section 12 hereof;

  • Warrant Securities means this Warrant and the Warrant Shares, collectively.

  • Automatic Exchange Rights means the benefit of the obligation of Parent to effect the automatic exchange of Parent Common Shares for Exchangeable Shares pursuant to Section 5.13.

  • Lock-Up Securities has the meaning set out in Section 5(l).

  • Fully Junior Shares means the Common Shares, the Series 1998 Junior Participating Preferred Shares and any other class or series of shares of beneficial interest of the Company now or hereafter issued and outstanding over which the Series E Preferred Shares have preference or priority in both (i) the payment of dividends and (ii) the distribution of assets on any liquidation, dissolution or winding up of the Company.

  • Share Repurchase means the purchase, repurchase, redemption or other acquisition by Borrower from any Person of any capital stock or other equity interest of Borrower.
