Company Names and Marks definition

Company Names and Marks means the names or marks owned, licensed or used by the Company, any member of the Company Group or any of their respective Affiliates, including names that use or contain “GENERAL ELECTRIC” (in block letters or otherwise), the General Electric monogram, “General Electric Company” and “GE,” either alone or in combination with other words and all marks, trade dress, logos, monograms, domain names and other source identifiers confusingly similar to or embodying any of the foregoing either alone or in combination with other words. For the avoidance of doubt, Company Names and Marks excludes all Trademarks included on Annex A-7.

Company Names and Marks means the name “Nuevo” and any trade name, trademark, service xxxx, logo or internet domain comprising the foregoing, and all derivatives and formulations thereof as used by the Company and the Company Subsidiaries in connection with the conduct of their businesses.

Examples of Company Names and Marks in a sentence

• The Parties acknowledge and agree that the Company Names and Marks shall be transferred and assigned by the Company to Shareholder Holdco in connection with the Closing and pursuant to this Agreement and the IP Assignment Agreement.

• Notwithstanding the foregoing, Parent shall have a period of up to six (6) months from the Closing to cause the Company and Company Subsidiaries to permanently remove Company Names and Marks from the facilities, pipeline markers and similar assets of the Company.

• Parent expressly acknowledges and confirms that Parent shall not receive, any right, title or interest in or to the Company Names and Marks, except the limited right to use the Company Names and Marks for the sole purpose of permitting Parent to complete the phase out of such use in strict compliance with this Section 7.14 .

• Except as otherwise provided in this Section 4.02 or the Trademark License Agreement, SpinCo and its Affiliates shall cease and discontinue all uses of the Company Names and Marks immediately upon the Distribution Effective Time.

• NextTrip, for itself and its Affiliates, agrees that the rights of the members of the NextTrip Group and their respective Affiliates to the Company Names and Marks pursuant to the terms of any trademark agreements or otherwise between the Company or any of its Affiliates, on the one hand, and the members of the NextTrip Group or their respective Affiliates, on the other, shall terminate on the Closing Date and be replaced by such rights as are provided under this Section 3.02.

More Definitions of Company Names and Marks

Company Names and Marks means the names “Yates Petroleum Corporation,” “Yates,” “YPC” and all derivatives and formulations thereof as used by the Company and its Subsidiaries in connection with the conduct of their businesses and any trade name, trademark, service mark, website, URL, logo or internet domain comprising the foregoing.

Company Names and Marks shall have the meaning set forth in Section 6.10(f).

Company Names and Marks means the names and marks of Business Subsidiaries, including the names and marks set forth on Exhibit 1, either alone or in combination with other words and all marks, trade dress, logos, monograms, domain names and other sourceidentifiers confusingly similar to or embodying any of the foregoing either alone or in combination with other words.
