Company Option Shares definition

Company Option Shares means the number of shares of Company Capital Stock (whether vested or unvested) issuable upon the exercise of all Company Options.
Company Option Shares means the Company Shares to be issued to holders of Company In- The-Money Options pursuant to Section 2.3(e) of the Plan of Arrangement, which is equal to the In-The-Money Amount of such Company In-The-Money Options held by each Company Optionholder net of applicable source deductions, which shall be the amount obtained by dividing the applicable source deduction in respect of each Company In-The-Money Option held by such Company Optionholder by the Fair Market Value and rounding up to the nearest whole Company Share.
Company Option Shares means the number of shares of Common Stock issuable immediately prior to the Effective Time if all Company Options then outstanding were exercised immediately prior to the Effective Time.

  • If any or all of such Company Option Shares are not sold pursuant to an Offer within the time permitted above, the unsold Company Option Shares shall remain subject to the terms of this Section 16 and any future proposed transfer must again comply with the provisions set forth herein.

For purposes of this Section, the term “Stock Ratio” means the quotient of the Gross Stock Option Consideration divided by the Gross Option Consideration. The term “Exercise Price Per Share” means the exercise price per share of such Company Common Stock subject to such Company Option, as in effect immediately prior to the Effective Time of Merger I.
Company Option Shares means the Company Shares to be issued to holders of Company In- the-Money Options pursuant to Section 3.2(d) of the Plan of Arrangement;
