Company Redemption Price definition

Company Redemption Price means, with respect to this Note upon a Company Redemption, a cash amount equal to the greater of (A) the Principal Amount of this Note and (B) the then applicable Minimum Return amount in effect at such time multiplied by the then outstanding Stated Principal Amount of this Note to be so redeemed, in each case of clause (A) and clause (B), plus accrued and uncapitalized interest on this Note.
Company Redemption Price means the consideration payable by the Company to redeem any share of Convertible Preferred Stock upon its Redemption, calculated pursuant to Section 6(d).
Company Redemption Price means the cash price payable by the Company to redeem this Note pursuant to Section 7(A)(ii).

Examples of Company Redemption Price in a sentence

  • If the Company elects to redeem the Note in accordance with Section 8(a), then the Company Redemption Price, if any, which is to be paid to the Holder, shall be paid, by wire transfer of immediately available funds, an amount in cash equal to 100% of the Company Redemption Price.

  • For all payments under this Note, the payment of the Company Redemption Price by the Company shall be in addition to any accrued interest due.

  • The Holder may convert after the Company Redemption Notice is received and until the Company Redemption Price is received by the Holder.

More Definitions of Company Redemption Price

Company Redemption Price means the sum of (i) the outstanding principal amount of this Debenture plus (ii) all other amounts, interest and liquidated damages due in respect of this Debentures.
Company Redemption Price means 100% of the principal amount of the Debentures being redeemed, plus accrued and unpaid interest to, but excluding, the redemption date (subject to the right of Holders of record on the relevant Record Date to receive (i) interest due on the relevant interest payment date and (ii) principal payments due on the applicable Principal Payment Date).

In the event of a Company Default Redemption, Company Redemption Price will mean, a cash amount equal to the greater of (A) the sum of (i) 110% of 115% of the then outstanding principal amount of the Notes and (ii) the accrued and unpaid interest on the Notes and (B) the sum of (i) 120% of the product of (a) the applicable conversion rate in effect as of the Trading Day immediately preceding such Company Redemption Date; (b) the total then outstanding principal amount (expressed in thousands) of the Notes; and (c) the greater of (x) the highest Daily VWAP per share of our common stock occurring during the 30 consecutive VWAP Trading Days ending on, and including, the VWAP Trading Day immediately before the date we deliver notice of our intent to exercise a Company Redemption and (y) the average of the five Daily VWAPs per share of our common stock occurring during the five consecutive VWAP Trading Days ending on, and including, the VWAP Trading Day immediately before the date the applicable Event of Default occurred (or the date on which the Default underlying such Event of Default initially occurred, or the date on which the event or circumstance occurred which, with the giving of notice or passage of time or both, could constit...
