Company Registered IP definition

Company Registered IP means all of the Registered IP owned by, under obligation of assignment to, or filed in the name of, the Company or any of its Subsidiaries.

Company Registered IP means all Intellectual Property for which registrations are owned by or held in the name of, or for which applications have been made in the name of, any Group Company.

Company Registered IP has the meaning set forth in Section 3.10(a).

Examples of Company Registered IP in a sentence

• Neither the Company nor any of its Subsidiaries has received any written notice or claim in the three (3) years prior to the date hereof setting forth a reasonable basis for challenging the validity or enforceability of any Company Registered IP that remains pending or unresolved.

• To the Knowledge of the Company, since the Lookback Date, no third Person has infringed, misappropriated or violated any Company Intellectual Property or any Company Registered IP.

• Each item of material Company Registered IP is currently in compliance with all formal legal requirements (including payment of filing, examination and maintenance fees) and, to the extent issued, is subsisting, and to the Knowledge of the Company, valid and enforceable.

• There are no Actions pending or, to the Knowledge of the Company, threatened (including any “cease and desist” letter or invitation to take a license) with respect to any Company Registered IP.

• No Company Intellectual Property or Company Registered IP is subject to any outstanding Order or agreement adversely affecting the Company Group’s ownership or use of, or any rights in or to, any such Intellectual Property.

Company Registered IP shall have the meaning set forth in Section 4.15(a).

Company Registered IP means all Intellectual Property Rights in Company-Owned IP that are registered, filed or issued under the authority of, with or by any Governmental Body, including all patents, registered copyrights, registered trademarks and all applications for any of the foregoing.

Company Registered IP is defined in Section 3.8(a) of the Agreement.

Company Registered IP has the meaning set forth in Section 5.19(a).

Company Registered IP means (i) all Patents, registered Trademarks, applications to register Trademarks, registered Copyrights, applications to register Copyrights, and Domain Names included in the Company Intellectual Property that are registered, recorded or filed by, for, or under authorization from (or in the name of) the Company or any of its Subsidiaries, and (ii) any other applications, registrations, recordings and filings by the Company or any of its Subsidiaries (or otherwise authorized by or in the name of the Company or any of its Subsidiaries) with respect to any Company Intellectual Property.

Company Registered IP shall have the meaning set forth in Section 2.9(a).

Company Registered IP means all U.S. and foreign: (i) Patents; (ii) registrations and applications for Trademarks; (iii) copyrights registrations and applications therefor; (iv) registered mask works and applications to register mask works; and (v) Domain Name registrations; in each of the foregoing clauses (i) - (v) owned, filed in the name of, or applied for by the Company with a Governmental Body, whether alone or jointly with others.
