Competing Generic Product definition

Competing Generic Product means a product that is the generic equivalent of a Licensed Product that is sold or offered for sale in the Licensed Territory.
Competing Generic Product means a drug that meets all of the following criteria: (A) it is a 30mg or 60mg (as applicable) once-a-day form of nifedipine considered substitutable for Adalat LA; (B) it has been fully approved for commercial sale in oral solid-dosage form for administration in humans by the relevant Regulatory Authority(ies) and has received all required Other Governmental Approval(s) in such country; (C) it is not marketed in such country under the brand "Adalat" or "Adalat LA"; and (D) it is not marketed or co-marketed by Sanofi, any of its Affiliates, or under a license or sublicense or other arrangement from or with Sanofi or its Affiliates or sublicensees in any tier.
Competing Generic Product means, with respect to a Product, a product (i) having the same active pharmaceutical ingredient as the Compound, and (ii) that has been approved by applicable Regulatory Authorities for sale in the Field; provided, however, that a Competing Generic Product shall not include any product being sold or offered for sale by AstraZeneca or any AstraZeneca Affiliate.

  • This Agreement expires at the latest of (i) when the last Valid Claim in a Licensed Patent or in an Improvement, Licensee Improvement or Joint Improvement patent expires or is finally and irrevocably held to be invalid or unenforceable by an authority of competent jurisdiction and (ii) the first documented, lawful third party sale of a Competing Generic Product in the PRC or Hong Kong, unless terminated earlier as provided herein or unless extended by mutual written agreement.

Competing Generic Product means, with respect to a given Product and a given country in the Territory, a product sold by a Third Party in such country, other than as a Sublicensee of the applicable Party or its Affiliates under this Agreement, where (a) such Third Party did not purchase or acquire such product in a chain of distribution that included such applicable Party or its Affiliates or Sublicensees, (b) such product received Marketing Authorization from the applicable Regulatory Authority in such country pursuant to an expedited or abbreviated approval process in accordance with the then-current rules and regulations in such country as a generic, follow-on, hybrid, biosimilar, or interchangeable product of such Product by referencing the Product as the “reference listed product” or similar designation in such country, and (c) such Marketing Authorization referred to or relied on the Marketing Authorization of such Product.
