Completion Rig Employees definition

Completion Rig Employees means the persons set out in a schedule of employees known as the “Completion Rig Employees Schedule” in the Agreed Terms and any other rig-based and shore-based employee engaged by a Seller Operator in the Completion Business between the date of this agreement and Completion, in each case, who is to be a Completion Rig Employee in accordance with clause 16.21(a), excluding the NLN Rig Employees, the Retained Employees, any Terminated Completion Rig Employee and any person who is deemed to be a Retained Employee pursuant to clause 16.21(b);

Examples of Completion Rig Employees in a sentence

  • By no later than three Business Days after the Condition Satisfaction Date, the Seller Parent shall deliver to the Buyer an updated list of the Completion Rig Employees as at such date to reflect any Terminated Completion Rig Employee or New Completion Rig Employee who has either ceased to be, or has become (respectively), a Completion Rig Employee for the purposes of this agreement.

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Transferring Employees means employees of the Incumbent Contractor who are wholly or mainly assigned to work in the provision of the Service and who are subject of a Relevant Transfer to the Contractor by virtue of the application of the TUPE Regulations.

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Part-Time Employees means employees employed on a permanent basis, but obligated to work less than a full (i.e., forty-hour) work week.

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Permanent Employees means all employees who are not casual employees, or employees working in a long-term supply assignment, as defined below.

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Excluded Employees shall have the meaning set forth in Section 5.1.2.

  • Covered Building Service Employee means any person performing building service work for a Covered Building Service Employer, either directly or through a contract or subcontract.

  • Separated employees means persons who separate from

  • flight crew member means a licensed crew member charged with duties essential to the operation of an aircraft during a flight duty period;

  • Relevant Employees means the employees of the Contractor (including the Transferring Employees) who are wholly or mainly assigned to work in the provision of the Services and who are/will be the subject of a Relevant Transfer by virtue of the application of the TUPE Regulations.

  • Company Service Provider means a Company Employee, a Company Independent Contractor or a member of the Company Board.

  • Contractor employee means prime Contractor and subcontractor employees who require agency access to perform work under a CMS contract.

  • Prime Contractor employee, as used in this clause, means any officer, partner, employee, or agent of a prime Contractor.

  • Subcontractor employee, as used in this clause, means any officer, partner, employee, or agent of a subcontractor.

  • Transferring Former Supplier Employees in relation to a Former Supplier, those employees of the Former Supplier to whom the Employment Regulations will apply on the Relevant Transfer Date; and

  • Former Employees means a former member of management of Icahn Enterprises (or any of its Subsidiaries (including any Guarantors)), other than the Principal, who voluntarily or upon any other termination is no longer employed by any of Icahn Enterprises or any of its Subsidiaries (including any Guarantors) and who holds Equity Interests that are required to be redeemed or purchased pursuant to any contractual requirements upon such termination of employment.
