Schedule of Employees. Manager shall provide Owner with a schedule of employees annually. This schedule shall include the names of employees, job title, and time allocated to the Properties. Manager agrees to identify in the annual operating budget for approval by Owner, all employees’ salaries that are directly charged to the Properties. When such employee terminates his employment with Manager, or the employee’s employment is otherwise terminated, a new employee must be identified by notification in writing to Owner by Manager as a replacement. When it is necessary to replace employees working at the Properties, Manager shall notify Owner, in advance, of the reasons for the replacement and the qualifications for the replacement personnel and Owner shall have the right to approve any such replacement personnel.
Schedule of Employees. To the extent not already included in the Approved Annual Business Plan and Budget, Manager shall provide Owner with a schedule of Personnel to be employed “on-site” at all times in the direct management of each Property. This schedule shall include the number of employees and their title and salary. Manager shall cause all Personnel to be covered by Manager’s crime/employee dishonesty insurance in accordance with Section 11.3(d).
Schedule of Employees. Attached hereto as Exhibit C is a schedule (the “Reimbursable Employee Expense Schedule”) that sets forth: (a) a list of Manager’s employees (including the Property Manager) who shall be employed on-site in the direct management and operation of the Property; (b) the respective titles and salary of each such employee; (c) the length of time that each such employee has been employed by Manager; (d) whether each such employee works full or part-time (and if they work part-time, the number of hours they work per week); (e) the cost of salary, wages and bonus that may be charged to the Property for each such employee; and (f) whether each such employee is bonded or covered under Manager’s comprehensive crime insurance policy. The Reimbursable Employee Expense Schedule shall also identify any employees of Manager who are not located at the Property but whose salaries may be charged to the Property pro rata based upon services actually rendered by such employees directly to the Property (in which event the Reimbursable Employee Expense Schedule shall set forth the salaries of such offsite employees and the maximum percentage thereof that may be charged to the Property). In no event shall Manager be entitled to charge to the Property any employee-related expenses: (i) that relate to general or supervising management personnel, accountants or auditors; (ii) for which a separate fee is charged by Manager pursuant to this Agreement or otherwise; or (iii) that are not specifically set forth on the approved Reimbursable Employee Expense Schedule. The expenses chargeable to the Property pursuant to the Reimbursable Employee Expense Schedule may be modified from time to time only as part of the Approved Annual Business Plan or as otherwise agreed upon by Owner and Manager in writing.
Schedule of Employees. Manager shall provide for the Property a schedule of the number, job classification and identity of the employees of Manager in the form set forth in Exhibit E attached (the “Employee Schedule”) to be employed in the direct management, operation or maintenance of the Property who shall include, but not be limited to, those employees of Manager whose salaries may, from time to time, be charged prorata to the Property for direct management, operation and maintenance services rendered at the Property less than full time. Schedule of Employees. A schedule of all current employees of the Property, setting forth the name, residence, salary, hourly wages, benefit package, bonuses, vacation and sick pay and other prerequisites of their employment.
Schedule of Employees. Schedule 5.21(a) sets forth a correct and complete list and description of all of the employees of, and consultants and independent contractors to, the Company and its Subsidiaries and each employee’s place of employment, compensation, bonuses, deferred or contingent compensation, pension, accrued vacation, accrued sick pay, severance, “golden parachute” and other like benefits and term of employment, in effect as of the date of this Agreement. Since December 31, 2002, none of the employees listed on Schedule 5.21(a) has spent less than 75% of his active business hours on matters involving the Business; and since December 31, 2002 there has been no officer or employee of, or consultant or independent contractor to, the Company, any of its Subsidiaries, any Shareholder, or any of their Affiliates, other than those listed on Schedule 5.21(a), who has spent more than 25% of his active business hours on matters involving the Business.
Schedule of Employees. Schedule 4.20(a) contains a list of the name of each officer and each full-time employee of the Parent and Sub employed in the business of the Parent or Sub at the Execution Date and such person’s position. Since December 31, 2010, there has been no change of, or agreement to change, any terms of employment, including without limitation, salary, wage rates or other compensation, of any officer or employee of the Parent or Sub.
Schedule of Employees. A schedule shall be delivered to Buyer by the Company prior to the Closing Date, setting forth the name and position of each person employed on a full-time or part-time basis by the Company and/or the Subsidiaries and the aggregate compensation (including salary, bonuses and commissions) paid to each such person for the period commencing January 1, 1997, and ending with the pay period not more than 30 days prior to the Closing Date, together with the date of most recent commencement of service of each such person and the accrued holiday, vacation, sick leave, long-service entitlement (if any) of each such person and permitted time off due as compensation for additional time worked by each person.
Schedule of Employees. Manager shall provide a schedule of employees with respect to all employees to be employed “on-site” in the direct management of the Property. This schedule shall include the number of employees and their title and salary range and shall also indicate which employees, if any, are bonded or are covered under Manager’s comprehensive crime insurance policy. Manager shall identify in the same manner those additional employees whose salaries may from time to time be charged pro rata to the Property for direct services rendered to such Property. Employees whose salaries are eligible to be charged pro rata include, but are not limited to, engineers or others to be mutually agreed upon by Owner and Manager from time to time.
Schedule of Employees. SCHEDULE G lists the names of all Employees as of the date specified thereon and states for each such individual his or her position, dates of employment with the Seller, years of service, present compensation and benefits. There are no employment agreements, severance agreements or other agreements governing the employment relationship between any of the Employees and the Seller.
