Condition of the Assets. All of the tangible assets included in the Assets ("Tangible Assets") are in good and usable condition and are fit for their intended purposes, ordinary wear and tear excepted. There are no defects in such Tangible Assets or other conditions which, in the aggregate, materially and adversely affect the operation or value of such Tangible Assets.
