  • If, within sixty (60) days following the date of PacifiCorp’s receipt of the Conditional DNR Notice, the Parties are unable to reach agreement on any necessary adjustments to ensure the Contract Price reflects an “avoided cost” price as determined by the Commission and PURPA, PacifiCorp will submit the matter to the Commission for a determination on what adjustments, if any, are appropriate as a result of the Conditional DNR Notice.

  • In the event of a Conditional DNR Notice, Project Manager will have the right to terminate this Agreement upon written notice to the Company and such termination by Project Manager will not be an event of default and no damages will be owed by Project Manager to the Company related to the termination of this Agreement except to the extent the Company has incurred costs at Project Manager’s request in furtherance of addressing the matters covered under this Section.

  • Term SOFR Notice means a notification by the Administrative Agent to the Lenders and the Borrower of the occurrence of a Term SOFR Transition Event.
