Conditional Exercise definition

Conditional Exercise has the meaning set forth in Section 4.2(a) hereof.

Examples of Conditional Exercise in a sentence

  • In the event that such tender or exchange offer is not consummated prior to termination of the Option, such Conditional Exercise Notice shall be void and of no further force and effect.

  • If you wish to tender Shares subject to warrants, you must deliver to the Depositary prior to the expiration of the Offer such documents as may be required pursuant to the terms of the warrant to effect the exercise thereof (other than payment of the exercise price of such warrants) together with a Conditional Election Form and any other documents required by the Conditional Election Form and the Instructions for Conditional Exercise for Tender of Option Shares and Warrant Shares.

  • If Lessor does not timely respond to Lessee's Conditional Exercise Notice in the manner contemplated above, Lessee's Conditional Exercise Notice shall be ineffective and Lessee's extension option shall lapse.

Related to Conditional Exercise

  • Conversion Option means the Company’s option to convert some or all of the Series D Preferred Stock into that number of shares of Common Stock that are issuable at the then-applicable conversion rate as described in Section 8(c) of these Articles Supplementary.

  • Initial Exercise Price shall have the meaning set forth in Section 2.4.1.

  • Exercise means a Holder’s right to exercise the Securities, in accordance with Product Condition 3;

  • Election to Exercise shall have the meaning attributed thereto in Subsection 2.2(d).

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Option Exercise Notice has the meaning set forth in Section 2.4(c).

  • Put Right has the meaning set forth in Section 8.05(a).

  • Acceleration Right means the Participant’s right, in certain circumstances, to exercise its outstanding Option as to all or any of the Common Shares in respect of which such Option has not previously been exercised and which the Participant is entitled to exercise, including in respect of Common Shares not otherwise vested at such time;

  • Total Exercise Price shall have the meaning set forth in Section 4(a) hereof.

  • Option Exercise Period has the meaning set forth in Section 6.4.

  • Automatic Exercise Applicable; and means that for each Expiration Date, a number of Warrants equal to the Daily Number of Warrants for such Expiration Date will be deemed to be automatically exercised at the Expiration Time on such Expiration Date.

  • Call Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and payment of the exercise price, as specified therein, to purchase from the writer thereof the specified underlying Securities.

  • Exercise Notice has the meaning set forth in Section 3.2(1);

  • Option means a stock option granted pursuant to the Plan.

  • Purchase Option Notice As defined in Section 3.18(e).

  • Option Notice has the meaning set forth in Section 5.2(a).

  • Stock Tender Exercise means a Stock Tender Exercise as defined in Section 6.3(b)(ii).
