Consolidated Recurring Revenue definition

Consolidated Recurring Revenue means, for any period of determination with respect to Company and its Subsidiaries, an amount for such period equal to the aggregate regular revenue (as determined in accordance with GAAP) paid by customers of the Note Parties to Company under their respective Contractual Obligations with Company; net of (i) any discounts afforded the applicable customer (e.g., for prepayment or for paying by automatic clearinghouse or electronically) and (ii) any allowances or reserves for bad debt; provided, however, that Consolidated Recurring Revenue shall not include any revenue attributable to or derived from: (a) late fees or similar fees; and (b) all other non-recurring revenues of Company and its Subsidiaries for services which are not provided on a regular and recurring basis such as unusual or infrequent income or receipts.
Consolidated Recurring Revenue means, with respect to any period of determination, an amount determined for Holdings and its Subsidiaries on a consolidated basis equal to the result of (i) the sum, without duplication, of (x) recurring revenue (which shall include year-end revenue to the extent recurring) consisting of vendor invoice, payment processing related revenue generated from the vendor invoice and payment processing business of the Credit Parties, including net interchange revenue earned for such period, and (y) recurring subscription, support, maintenance revenue and hosting revenue (to the extent a result of hosting a Credit Party’s product) attributable to software owned by Credit Parties and earned during such period, in the case of each of clauses (x) and (y), as reflected on Holdings’ and its Subsidiaries’ financial statements, recognized in accordance with GAAP, and calculated on a basis consistent with the Historical Financial Statements described in clause (i) of the definition thereof, but excluding (1) any license, subscription or maintenance revenue generated by BankTEL or its Subsidiaries from perpetual or term licenses or providing SaaS software or subscription services based on the BankTEL accounting solutions products, (2) product resale revenues, (3) initial license fee revenues, (4) training revenues, (5) custom programming revenues, (6) revenue from Affiliates, (7) revenues, fees, and interest from the Invoice Accelerator Product, and (8) income from the Trust or income earned on any Client Funds, minus (ii) customer incentive rebate expense for such period, as reflected on Holdings’ and its Subsidiaries’ financial statements, recognized in accordance with GAAP, and calculated on a basis consistent with the Historical Financial Statements.
Consolidated Recurring Revenue means, with respect to any period, all subscription-based, maintenance, and support services revenue determined in accordance with GAAP that is received from customers of the Borrower or its Restricted Subsidiaries in the ordinary course of business. Consolidated Recurring Revenue will be calculated net of any discounts, and on a basis consistent with the financial statements delivered to the Administrative Agent prior to the Effective Date, excluding the impact of any purchase accounting or other adjustment arising out of any historical or future acquisitions or similar Investments. To the extent the Borrower or any Restricted Subsidiary introduces any new recurring product or recurring service offering after the date of this Agreement, the method for calculating Consolidated Recurring Revenue attributable to such new recurring product or recurring service offering shall be mutually agreed upon by the Borrower and the Administrative Agent.

  • Consolidated EBIT means, for any fiscal period, Consolidated Net Income for such period plus, to the extent deducted in determining Consolidated Net Income for such period, the aggregate amount of (i) Consolidated Interest Expense and (ii) federal, state and local income tax expense.

  • Consolidated Excess Cash Flow means, for any period, an amount (if positive) equal to: (a) the sum, without duplication, of the amounts for such period of (i) Consolidated Net Income, plus, (ii) to the extent reducing Consolidated Net Income, the sum, without duplication, of amounts for non-cash charges reducing Consolidated Net Income, including for depreciation and amortization (excluding any such non-cash charge to the extent that it represents an accrual or reserve for a potential cash charge in any future period or amortization of a prepaid cash charge that was paid in a prior period), plus (iii) the Consolidated Working Capital Adjustment, minus (b) the sum, without duplication, of (i) the amounts for such period paid in cash by Holdings and its Subsidiaries from operating cash flow (and not already reducing Consolidated Net Income) of (1) scheduled repayments (but not optional or mandatory prepayments) of Indebtedness for borrowed money of Holdings and its Subsidiaries (excluding scheduled repayments of Revolving Credit Loans or Swing Line Loans (or other loans which by their terms may be re-borrowed if prepaid) except to the extent the Revolving Credit Commitments (or commitments in respect of such other revolving loans) are permanently reduced in connection with such repayments) and scheduled repayments of obligations of Holdings and its Subsidiaries under Capital Leases (excluding any interest expense portion thereof), (2) Capital Expenditures, (3) payments of the type described in clause (g) of the definition of Consolidated EBITDA and (4) consideration in respect of Permitted Acquisitions plus (ii) other non-cash gains increasing Consolidated Net Income for such period (excluding any such non-cash gain to the extent it represents the reversal of an accrual or reserve for a potential cash gain in any prior period).
