Continuous Participation definition

Continuous Participation of a Participant means the period beginning with the most recent effective date of his participation under Section 2.01 of the Plan without a subsequent voluntary quit, discharge or resignation from the Plan.
Continuous Participation means those complete Years of the Employee's participation in this Agreement from the effective date of this Agreement.
Continuous Participation means a period of continuous employment as a full-time Employee of the Company beginning on the date on which an Employee first becomes an Active Participant and ending on the Employee’s Termination. In the event an Employee has a Termination and subsequently becomes an Employee and an Active Participant, any Continuous Participation shall begin on the date such individual again becomes an Active Participant. If reemployment upon expiration of a leave of absence approved by the Company is not so guaranteed, on the 91st day of such leave any Incentive Stock Option held by the Participant shall cease to be treated as an Incentive Stock Option and shall be treated for tax purposes as a Nonstatutory Stock Option. Whether military, government or other service or other leave of absence shall constitute a termination of Continuous Status as a Participant shall be determined in each case by the Committee at its discretion, and any determination by the Committee shall be final and conclusive.

To the extent permitted by law, the Board or the chief executive officer of the Company, in that party’s sole discretion, may determine whether Continuous Service will be considered interrupted in the case of (i) any leave of absence approved by the Board or chief executive officer, including sick leave, military leave or any other personal leave, or (ii) transfers between the Company, an Affiliate, or their successors. Notwithstanding the foregoing, a leave of absence will be treated as Continuous Service for purposes of vesting in an Award only to such extent as may be provided in the Company’s leave of absence policy, in the written terms of any leave of absence agreement or policy applicable to the Participant, or as otherwise required by law.

  • L/C Participation shall have the meaning provided in Section 3.3(a).
