Control Parties definition

Control Parties means one or more of (i) Xxxx Capital Venture Fund, L.P., BCIP Associates III, LLC, BCIP Associates III-B, LLC and Brookside Capital Partners Fund, L.P. and (ii) Battery Venture VI, L.P. and Battery Investment Partners VI, LLC.
Control Parties means individually and/or collectively, as the context may require, (A) REIT, (B) Borrower Principal and/or (c) an entity wholly owned and Controlled by either of the foregoing.
Control Parties in Section 1.1 of the Loan Agreement is hereby deleted and replaced with the following:

Control Parties means the AGI Management Stockholders, any of such stockholder's parents, spouse, children or grandchildren (or any trust or limited partnership formed for their sole benefit) and Affiliates of Heritage Partners Management Co. Inc. d/b/a Heritage Partners, Inc. collectively.

Related to Control Parties

  • Control Party means (i) the Guarantor, so long as no Guarantor Default has occurred and is continuing, or (ii) the holders of the Notes for so long as a Guarantor Default has occurred and is continuing.

  • Senior Class Debt Representative has the meaning assigned to such term in Section 8.09.

  • Note Insurer means Ambac Assurance Corporation, a Wisconsin-domiciled stock insurance corporation, or any successor thereto, as issuer of the Policy.

  • Secured Debt Representative means each Parity Lien Representative and each Priority Lien Representative.

  • Majority Purchaser Agents means a minimum of two Purchaser Agents which in their related Purchaser Group have Related Committed Purchasers whose Commitments aggregate more than 50% of the aggregate Commitment of all Related Committed Purchasers in all Purchaser Groups.

  • ABL Secured Parties means “Secured Parties” as defined in the ABL Credit Agreement.

  • Controlling Class Representative shall have the meaning assigned to the term “Directing Certificateholder” in the Lead Securitization Servicing Agreement.

  • Issuer Representative means the Chairman of the Board of the Issuer or such other person at the time, and from time to time, designated by written certificate of the Issuer furnished to the Borrower containing the specimen signature of such person and signed on behalf of the Issuer by its Chairman. Such certificate shall designate an alternate or alternates, any of whom may act at any time as Issuer Representative.

  • Prepetition Secured Parties means the “Secured Parties” under, and as defined in, the Prepetition Credit Agreement, in each case as amended, modified or supplemented through the Petition Date.
