Convertible Note Hedge definition

Convertible Note Hedge means the call option, capped call option, call spread option or similar option transaction purchased by the Borrower to hedge its exposure with respect to the issuance and delivery of its Equity Interests upon conversion of the Convertible Senior Notes.
Convertible Note Hedge means that certain transaction entered into pursuant to that certain Confirmation of OTC Convertible Note Hedge dated as of February 13, 2004, by and between Borrower and Mxxxxxx Lxxxx International, and that certain Guarantee of Mxxxxxx Lxxxx & Co., Inc. dated as of February 13, 2004 in favor of Borrower, as each such agreement may be amended, supplemented or otherwise modified from time to time in accordance with the terms hereof and thereof.
Convertible Note Hedge means the transactions entered into pursuant to (1) that certain confirmation between the Company and Bank of America, N.A., dated September 13, 2006 and carrying the Bank of American, N.A. Reference Number 24058 and (2) that certain confirmation between the Company and Deutsche Bank AG acting through its London branch (“DB”), dated September 13, 2006 and carrying the DB Reference Number NY-NY-OC 130732-1.

Convertible Note Hedge means that certain transaction entered into pursuant to that certain Confirmation of OTC Convertible Note Hedge dated as of February [__], 2004, by and between Borrower and Xxxxxxx Xxxxx International, and that certain Guarantee of Xxxxxxx Xxxxx & Co., Inc. dated as of February [__], 2004 in favor of Borrower, each in substantially the same form as the draft dated February [__], 2004 attached as Annex H hereto, as each such agreement may be amended, supplemented or otherwise modified from time to time in accordance with the terms hereof and thereof.
Convertible Note Hedge means that certain Convertible Bond Hedge Transaction Confirmation, dated July 29, 2008, between Company and Xxxxxxx, Xxxxx & Co.

  • Convertible Note Documents means the indenture under which the Convertible Notes are issued and all other instruments, agreements and other documents evidencing or governing the Convertible Notes or providing for any other right in respect thereof.

  • Senior Note Indentures means, collectively, the Senior Note (2020) Indenture, the Senior Note (2021) Indenture, the Senior Note (2022) Indenture and the Senior Note (2023) Indenture.

  • Bridge Loan Documents means the “Loan Documents” as defined in the Bridge Credit Agreement.
