Cool Down definition

Cool Down means the controlled process by which a process system is taken from its ambient condition (purged and cleaned of air, moisture and debris, etc.) and cooled down to its cryogenic temperature (at or below—260°F) through the use of LNG, which shall be set forth in the Project Commissioning Plan. A system has achieved “Cool Down” when it has reached its cryogenic temperature in a stable condition.

  • Owner will provide operating personnel for supervision by Contractor in accordance with Section 4.4 of the Agreement and supply the LNG necessary for Contractor to achieve Cool Down and to commence start-up and conduct the Performance Tests, in accordance with Section 11.1 of the Agreement.

  • For the avoidance of doubt, the provisions of this LTL and its attachments will be applicable only to the extent that the Client has subscribed LNG Truck Loading Services – and if applicable the LNG Truck Cool Down Services – and LNG Truck Approval Services as the case may be and only for the performance of such subscribed Services.

  • During the Contract Term, Terminal Operator agrees to provide to Client and Client agrees to purchase from Terminal Operator LNG Truck Loading Services, LNG Truck Cool Down Services (if applicable), and LNG Truck Approval Services (as the case may be), set out in any Service Confirmation Form as enclosed in attachment A and provided by Terminal Operator to Client under this LTL, in accordance with the terms and conditions contained in this LTL.

  • If parents respect the Cool Down Period, their concerns are MORE likely to be fully addressed in a reasonable discussion, when emotions are not as high.

  • Subject to the Cool Down Period and satisfaction (or waiver) of the conditions set forth in Article 4 (Conditions Precedent) below, the Subscriber agrees to, on each Issue Date, fully subscribe and pay for, or procure to be subscribed and paid for, the relevant number of Bonds issued in accordance with the provisions of the Agreement.

  • Owner will submit the FSP to the COTP approximately twelve (12) months prior to Ready for Cool Down of the Facility so that adequate time is available for review and revision and for training of personnel.

  • Notwithstanding the Cool Down Period, the Investor may, at its option, instruct the Corporation (Investor Call Notice) to drawdown up to eleven (11) Tranches (an Investor Call) subject to reduction as described below, in which case, the Corporation would be obliged to issue the Debentures subject to the Investor Call and the accompanying Warrants within three (3) trading days of receiving the Investor Call Notice.

  • Owner will provide operating personnel for supervision by Contractor in accordance with Section 4.4 of the Agreement and supply the Natural Gas for production of LNG necessary for Contractor to achieve Cool Down and to commence start-up and conduct the Performance Tests, in accordance with Section 11.1 of the Agreement.

  • Notwithstanding anything to the contrary in this Agreement, the Investor shall also have the right to exercise its Investor Call in accordance with this Clause 2.3.1 even if (i) no Tranches have been drawn down by the Issuer and (ii) a Cool Down Period is ongoing.
