Corporate Facility definition

Corporate Facility means the Second Amended and Restated Senior Secured Revolving Credit Agreement, dated as of December 23, 2020 (as amended, supplemented, amended and restated or otherwise modified from time to time”), among FS KKR Capital Corp., a Maryland corporation (including as successor by merger of FSK Capital Corp. II, the “Borrower”), the Lenders party thereto, JPMorgan Chase Bank, N.A., as administrative agent (in such capacity, the “Administrative Agent”) and ING Capital LLC, as Collateral Agent, or any such successor or replacement parent loan facility.

Corporate Facility means that certain Third Amended and Restated Credit Agreement, dated as of July 17, 2014, among the lenders parties thereto, Bank of America, N.A., as agent for such lenders, and Parent and certain of its domestic subsidiaries, as borrowers, as the same may be amended, restated, amended and restated, supplemented or otherwise modified from time to time.

Corporate Facility means a secured credit facility of the Company, with recourse to the Company, incurred pursuant to documentation containing financial covenants, covenants governing the borrowing base, if any, portfolio valuations and events of default other terms (other than interest) that are not materially more or less restrictive upon the Company and its Subsidiaries than those set forth in similar credit facilities for borrowers the general nature of the business of which is not substantially different from the general nature of the business of the Company and its Subsidiaries, taken as a whole.

Examples of Corporate Facility in a sentence

• To the knowledge of Lender, no “Default” or “Event of Default” or similar event has occurred and is continuing under the Corporate Facility or the other material debt instruments of Parent nor will a “Default” or “Event of Default” or similar event exist under the Corporate Facility or the other material debt instruments of Parent after giving effect to the transactions contemplated hereby, including, without limitation, each borrowing hereunder.

• Clients wishing to on-sell whole or part of their Corporate Facility must obtain written permission from the Chief Executive.

• Resident Aliens (“Permanent Resident”) and Non-Resident Aliens (“Visa Holder” or “Work Authorizations”) will not perform services (whether physical or logical) and will not have access (whether escorted or unescorted), except as expressly agreed in writing in advance by Company and approved by the Company Corporate Facility Security Officer.

• The services provided by the Owner shall be consistent with the Wake County Corporate Facility Plan which is attached hereto as Appendix F and incorporated herein by reference.

• It is recommended that a Corporate Facility Security Officer (FSO) be established to serve as your firm's single point of contact for CVS.

Corporate Facility means that certain Second Amended and Restated Credit, Security, Guaranty and Pledge Agreement dated as of July 25, 2008 among LGEI, Lions Gate UK Limited and Lions Gate Australia Pty Limited, as Borrowers, certain guarantors referred to therein, certain lenders referred to therein, the Administrative Agent and Wachovia Bank, N.A., as syndication agent (as it may be amended, supplemented or otherwise modified, renewed or replaced from time to time).
