Court Meetings definition

Court Meetings the meetings of the classes of shareholders of Constellation required to be held for the purposes of sanctioning the Scheme under Section 425 of the Companies Xxx 0000 (or, if applicable, Section 899 of the Companies Act 2006).
Court Meetings means the meetings (and any adjournment thereof) of Shareholders or any class thereof convened pursuant to an order of the Court under Part 26 of the Companies Act 2006 to consider and, if thought fit, approve the Scheme;

  • The Preference Court Meetings have been convened at the direction of the Court to enable the holders of the different classes of HBOS Preference Shares to consider and, if thought fit, approve the Preference Scheme (with or without modification).

Court Meetings means the meeting(s) of the shareholders of the Target convened by order of the High Court of Justice to consider and vote on whether to approve the Scheme pursuant to section 425 of the Companies Xxx 0000 (and, if applicable, any adjournment of any such meeting or any further such meeting(s) convened for such purpose).
