Covenant Release Date definition

Covenant Release Date means the earlier to occur of the date on which (a) Toshiba properly delivers a Payment Obligation Suspension Notice to Beneficiary in accordance with Section 2.4 and (b) Toshiba is rated by Standard & Poor’s or Xxxxx’x Investor Service at or above the Minimum Rating.
Covenant Release Date means the first Borrowing Base Redetermination Date on which the outstanding Senior Indebtedness (excluding any obligation of any kind under any Hedging Agreement) is less than or equal to the Borrowing Base set by the Senior Lenders pursuant to the Senior Credit Agreement.
Covenant Release Date means the earlier to occur of the date on which (a) Toshiba properly delivers a Payment Obligation Suspension Notice to Beneficiary in accordance with Section 2.4 and (b) Toshiba is rated by Standard & Poor’s or Moody’s Investor Service at or above the Minimum Rating.

Covenant Release Date means the first date on which (a) the Rollover Date shall have occurred, (b) the shelf registration statement shall have been filed with the SEC pursuant to Section 6.17(c), (c) no Specified Default shall have occurred and be continuing (unless in the case of a Specified Default under Section 8.0l(a), such Default shall have been cured or waived), and (d) no Event of Default relating to Section 6.16 or Section 6.17 shall have occurred and be continuing (unless such Event of Default shall have been cured or waived).
Covenant Release Date means the first date that the senior unsecured long term debt securities of the Borrower without third party credit enhancement is rated either (a) Baa3 or better by Xxxxx’x and BBB or better by S&P or (b) Baa2 or better by Xxxxx’x and BBB- or better by S&P.
Covenant Release Date has the meaning given to such term in Clause 15.6.
