Current Note definition

Current Note means the promissory note of the Borrower in the face amount of $3,000,000.00, evidencing indebtedness under the Credit.

  • This Agreement shall be construed in connection with and as a part of the Note Purchase Agreement and, except as expressly amended by this Agreement, all terms, conditions and covenants contained in the Current Note Purchase Agreement are hereby ratified and shall be and remain in full force and effect.

  • The Issuers hereby acknowledge and affirm all of their respective obligations under the terms of the Current Note Purchase Agreement and the Notes.

  • All references in the Loan Documents to the face amount of the Current Note shall be revised to refer to the New Note Amount set forth herein.

  • All references in the Loan Documents to the Current Note shall be revised to refer to the Note, as amended and restated.

  • Each reference in the Current Note Purchase Agreement to “this Agreement,” “hereunder,” “hereof,” or words of similar import in instruments or documents provided for in the Current Note Purchase Agreement or delivered or to be delivered thereunder or in connection therewith, shall, except where the context otherwise requires, be deemed a reference to the Note Purchase Agreement.

  • Interest on the Notes shall accrue at the Note Interest Rate during each Interest Period on the Current Note Balance of each Outstanding Note at the end of such Interest Period.

  • Term Note means a promissory note of the Borrower payable to any Term Lender or its registered assigns, in substantially the form of Exhibit C-1 hereto, evidencing the aggregate Indebtedness of the Borrower to such Term Lender resulting from the Term Loans made by such Term Lender.

  • Subordinated Note has the meaning set forth in the Purchase and Sale Agreement.

  • Adjustment Note has the meaning given in the GST Legislation;

  • B Note means, with respect to any A/B Mortgage Loan, the related subordinated Mortgage Note not included in the Trust, which is subordinated in right of payment to the related A Note to the extent set forth in the related Intercreditor Agreement.

  • Revolver Note means any one of such Revolver Notes.

  • Convertible Debenture means the 6% convertible debenture dated July 1, 2008 and due July 1, 2011, in the amount of CAD$10,000,000 issued by Orezone to the Debentureholder;

  • Note B shall have the meaning assigned to such term in the recitals.

  • Term B Note means a promissory note made by the Borrower in favor of a Term B Lender, or its registered assigns, evidencing Term B Loans made by such Term B Lender, substantially in the form of Exhibit C-1.

  • Mezzanine Note The original executed promissory note or other tangible evidence of the Mezzanine Loan indebtedness.

  • Debenture means debenture stock, mortgages, bonds and any other such securities of the Company whether constituting a charge on the assets of the Company or not.

  • Subordinate Note means each B Note.
