Cybersecurity Measures definition

Cybersecurity Measures means (a) any regulations promulgated by a Governmental Authority relating to cybercrime, cyberterrorism, ransomware, malware, privacy or the protection of Personal Information and (b) any reasonable measures, changes in business operations or other practices, affirmative or negative, adopted in good faith by any Acquired Company in response to a cybersecurity attack, breach or incident, for the protection of its information technology or any stored information.
Cybersecurity Measures means any measures enacted or regulations promulgated by a Governmental Entity relating to cybercrime, cyberterrorism, ransomware, malware, privacy or the protection of personally identifiable information.
Cybersecurity Measures means a set of minimum cybersecurity rules and measures with which network and information systems and their operators and users must be compliant, to minimise cybersecurity risks.

  • The phrase “ordinary course” or “ordinary course of business” shall be construed to mean an action taken, or omitted to be taken, by any person in the ordinary course of such person’s business; provided that any modifications, suspensions and/or alterations of policies or operations resulting from, or determined by such person to be advisable and reasonably necessary in response to Sanctions Measures or Cybersecurity Measures shall be deemed to be in the ordinary course of business.

Cybersecurity Measures means any reasonable emergency measures or reasonable emergency changes in business operations adopted on a temporary basis in good faith and in compliance with applicable Law by the Company and its Subsidiaries in response to a cybersecurity attack, breach or similar incident to the extent necessary for the protection of its information technology or any stored personally identifiable information.

Cybersecurity Measures means such improvements, updates or upgrades to the Company Systems reasonably requested by Purchaser pursuant to the process set forth in Section 7.18, which may include upgrading the Group Companies’ network security infrastructure and transitioning the Group Companies to Purchaser’s preferred cybersecurity tools and systems.
