As of the date of this Agreement, none of the Company or its Subsidiaries have otherwise experienced any material employment-related liability with respect to or arising out any COVID-19 Measures.
References to “ordinary course of business” (or similar references) shall mean the ordinary course of business consistent with past practice (including as to amounts and terms, as applicable), but taking into account the circumstances, including restrictions imposed by Legal Requirements and health and safety considerations relating to COVID-19 and any relevant COVID-19 Measures.
