Deal Sheet definition

Deal Sheet means, in respect of a transaction which is private and does not require a prospectus, the document setting out the deal information as contemplated in article 7.1(c) of the STS Regulation;
Deal Sheet means the deal sheet attached at the front of and forming part of this Agreement;
Deal Sheet means a Transaction summary substantially in the form attached hereto as Exhibit A which is executed by both Seller and Purchaser and confirms, among other things, (a) Seller’s commitment to purchase at an identified Injection Location a specified quantity of Crude Oil from an identified Supplier and (b) Purchaser’s commitment to purchase from Seller at an identified Delivery Location a specified Batch or Batches of Crude Oil, in each case subject to the timely performance of transportation services to be provided by the Pipelines referenced in such Transaction summary; and including any amended Deal Sheet pursuant to Section 2.13.

Examples of Deal Sheet in a sentence

  • If a fully-executed Order Form specifies amounts for certain Fees, then Company agrees to charge no more than the amount specified in the Order Form pertaining to the relevant Services during the Services Term, including in a Deal Sheet, unless Client agrees otherwise.

  • Company shall send notice to Client to the address specified in the Order Form, unless modified by notice under this Section or in the Deal Sheet.

  • The Contractor must obtain the Authority’s written approval of the Deal Sheet and complete any requested modifications to the Deal Sheet prior to proceeding with any lease negotiations.

  • Any and all payments under this Agreement or under any Deal Sheet shall be made free and clear of and without deduction for any and all present or future Taxes.

  • Unless a Purchaser’s Event of Default has then occurred and is continuing, Seller agrees it will not (a) sell or transfer to any Person other than Purchaser or otherwise dispose of any Crude Oil acquired by Seller pursuant to this Agreement and/or any Deal Sheet or (b) amend the Master Agreement or the Credit Agreement without Purchaser’s prior written consent.

  • Company is not obligated to perform Live Offering Services until it accepts the Offering as signified by a fully-executed Deal Sheet.

  • Notwithstanding the forgoing, the parties further agree that the obligations of both Purchaser and Seller under such Transaction and the related Deal Sheet shall be subject to and conditioned upon Seller and Supplier actually entering into a Supply Contract that is consistent in all respects with the terms set out in the Deal Sheet.

  • The obligations of this Section 6(c) apply under a fully-executed Deal Sheet for Live Offering Services.

  • Unless otherwise stated in the Deal Sheet, the Company is the exclusive provider of Live Offering Services, which means no other party, including the Client, may provide all or any part of Live Offering Services for an Offering subject to a fully-executed Deal Sheet.

  • The parties’ authorized representatives execute this Deal Sheet as of the date first stated above.


More Definitions of Deal Sheet

Deal Sheet means the mutually-executed document which sets forth the Services for which CaliberCos Inc., is engaging ARKap and the corresponding pricing, as may be amended from time to time by mutual written agreement of the parties hereto.

Related to Deal Sheet

  • Team Sheet means a form provided by the Competition on which the names of the Players taking part in a Competition match are listed.

  • Funds Flow Memorandum means the memorandum setting forth the flow of funds at closing and the funding of the Term A Loans and Term B Loans, as approved by the Administrative Agent, and a related letter of direction.

  • Coupon Sheet means, in respect of a Note, a coupon sheet relating to the Note;

  • Current Report shall have the meaning assigned to such term in Section 2.3.

  • Handover Memorandum shall have the meaning set forth in Clause 8.2;

  • Preliminary Closing Balance Sheet shall have the meaning set forth in Section 2.3(c)(i).

  • Cover Sheet means the cover sheet to this Agreement, which is incorporated into this Agreement.

  • RBC report means the report required by K.S.A. 40-2c02, and amendments thereto.

  • GLJ Report means the independent engineering reserves evaluation of certain oil, NGL and natural gas interests of the Company prepared by GLJ dated February 7, 2019 and effective December 31, 2018.

  • Unaudited Interim Balance Sheet shall have the meaning specified in Section 2.4(a)(iii) of the Agreement.

  • Closing Balance Sheet has the meaning set forth in Section 2.4(a).

  • Final Closing Balance Sheet shall have the meaning set forth in Section 2.3(e).

  • Visible sheen means the presence of a film or sheen upon or a discoloration of the surface of the discharge. A sheen can also be from a thin glistening layer of oil on the surface of the discharge.

  • Interim Balance Sheet has the meaning set forth in Section 3.06.

  • Closing Date Financial Statements has the meaning set forth in Section 2.3(a)(i).

  • Closing Date Balance Sheet is defined in Section 3.1.

  • MI Report means a report containing Management Information submitted to the Authority in accordance with Framework Schedule 8 (Management Information);

  • Balance Sheet has the meaning set forth in Section 3.06.

  • Most Recent Financial Statements has the meaning set forth in Section 4(g) below.

  • Pick Up Report means the report detailing the number of sleeping rooms per day actually used out of the Program’s room block.

  • ESDM Report means the Emission Summary and Dispersion Modelling Report prepared in accordance with the Procedure Document by Envision Compliance Ltd. and dated March 19, 2008 submitted in support of the application, and includes any amendments to the ESDM Report listed in Schedule A and all up-dated ESDM Reports prepared as required by the Documentation Requirements conditions of this Certificate.

  • Closing Memorandum means the form of closing memorandum to be prepared by Apple for the Closing under this Agreement in which are included the forms of certificates of officers, the opinions of counsel and certain other documents to be delivered at the Closing as provided in Article VII.

  • Transaction Report is that certain report of transactions and schedule of collections in the form attached hereto as Exhibit C.

  • Buyer SEC Documents shall have the meaning set forth in Section 4.10(a).

  • Preliminary Offering Memorandum means the preliminary offering memorandum consisting of the Red Xxxxxxx Prospectus and the preliminary international wrap to be used for offer and sale to persons/entities that are resident outside India;

  • Accessible Letter(s) means the correspondence used to communicate pertinent information regarding AT&T- 21STATE to the CLEC community and is (are) provided via posting to the AT&T CLEC Online website.
